Chap. 289.—An ACT to Establish and Incorporate the Pulaski Agricul-
tural and Mechanical Association.
In force March 22, 1872.
1. Be it enacted by the general assembly, That John S. Dra-
per, Brooke E. Watson, James B. Caddall, R. M. Crockett, J.
H. Tyler, S. Heth, David C. Kent, and such other persons as
may be associated with them under this act, be and are hereby
incorporated and made a body corporate and politic, under the
name and style of the “Pulaski Agricultural and Mechanical
Association,” for the purpose of establishing and conducting
fairs and other exhibitions of the natural and industrial pro-
ducts of Pulaski county as a means of developing the resources
of the said county and of promoting enterprise, industry,
economy and thrift among the citizens of said county, and that
said association shall have power to acquire by that name, by
purchase, gift, devise, or bequest, and hold real and personal
estate to the value of twenty thousand dollars; may sue and
be sued, plead and be impleaded in all the courts of law and
equity in this state, and have perpetual succession; to have,
make and use a common seal, and the same to break, alter,
renew at their pleasure, to ordain and establish such by-laws,
ordinances and regulations for the furtherance of the purpose
of an association as they may think wise and proper, by a vote
of the stockholders of said association, as hereinafter provided,
and generally to do every act and thing necessary to carry into
effect this act or to promote the object and design of this cor-
poration: provided, that such by-laws, ordinances, regulations
and acts be not inconsistent with the laws of this state or of the
United States.
2. The stock of said association shall be divided into two
thousand shares of ten dollars each, and the said association is
authorized to organize under the provisions of this act when
the sum of twelve hundred dollars in said stock has been taken
and paid in.
3. Each stockholder shall ba entitled to one vote for each
share of stock held by himself or his minor children.
4. Such constitution a8 shall be adopted by a two-thirds vote
of the stockholders of said association shall. be held and
deemed to be the constitution of said association, and shall not
be altered or amended except as may be therein provided.
5. This act shall be in force from and after its passage.
