Chap. 208.—An ACT to Incorporate Norwood College.
Approved March 15, 1872.
Whereas, It is represented to the generalassembly, That an
institution of learning has been established at Norwood, in the
county of Nelson, by William D. Cabell, a citizen of said
county, of great industry, enterprise and learning, which is
now in successful operation and deserves the liberal support of
the public; and whereas, it is further represented that the use-
fulness of said institution might be enlarged by converting it
into a public institution of learning, and placing it upon an
equal footing with the other colleges ‘of the state, which arrange-
ment it is also represented would be agreeable and satisfactory
to the said owner and principal, under certain conditions and
restrictions; therefore,
1. Be it enacted by the general assembly, That Thomas P.
Fitzpatrick, Robert Whitehead, Paul Stratton, William D.
Cabell, R. L. Brown, P. C. Callaway, P. C. Cabell, John D.
Horsley and Edgar Whitehead, be and they are hereby declared
a body politic and corporate, by the name of the president and
trustees of Norwood College, who shall have perpetual succes-
sion and a common seal, and by that name may sue and be
sued, plead and be impleaded, purchase, receive, possess, hold,
sell or dispose of any property, real or personal, for the use
and benefit of said institution, and under their common seal
make and establish from time to time, such rules and by-laws,
not contrary to the laws of the state as by them shall be
thought essential to the good order and government of the
professors, masters and students of said collece.
2. The said president and trustees shall have the power and
authority to issue certificates of stock in the Norwood College
to the amount of fifty thousand dollars, in shares of one hun-
dred dollars each, and sell and dispose of the same and pay
over the proceeds thereof to William D. Cabell, the owner:
provided, that whenever fcrty thousand dollars of said stock
shall have been issued and sould to parties other than the said
Wiliam D. Cabell, the remaining ten thousand dollars may be
issued and delivered to him if he shall so desire: provided
further, that before the said stock and the proceeds of such
as may have been sold shall be delivered to the said William D.
Cabell, a proper deed of barvain and sale shall be executed and
delivered to the said president and trustees, conveying to them
all the buildings now used for the said institution, with two
hundred acres of land attached thereto, bounded according to
a plot and survey of the same made by William A. Hull, sur-
veyor of Nelson county, on the day of eighteen
hundred and seventy, to be held by the said president and
trustees of Norwood College, and their successors in office, for
the use and benefit of. the stockholders of said institution.
3. A president and seven trustees shall be elected in the
month of July of each year, by the stockholders in general
meeting assembled, in person or by proxy, and in case of a
vacancy occasioned by death or resignation in the board of
trustees or president, such vacancies may be filled by the board.
4, This act shall be in force from its passage.
