Chap. 500.—An ACT for a charter for the Spiller academy, at Hampton.
Approved March 1, 18%.
1. Be it enacted by the general assembly of Virginia, That John
M. Phillips, Richard Spiller, T. C. Walker, Samuel 8S. Blue, Honor-
able R. M. Smith, J. M. Dawson, Henry Armstead, G. W. Godwin,
George W. Fields, Reddick Barnes and James Baily, who shall con-
stitute the first class; and Reverend C. A. Green, R. H. Fantleroy,
Doctor T. W. Addison, Thomas Harmon, Reverend William Thorn-
ton, Reverend G. W. Lee, D. D., Reverend D. W. Wisher, Reverend
H. L. Barco, Reverend L. W. Wales, Reverend J. W. Kirby and J. H.
Spiller, who shall constitute the second class ; and Louis Smith, Jack-
son Webb, Reverend Z. D. Lewis, B. D., Reverend J. M. Armstead,
R. R. Moten, Harris Barrett, Reverend H. Williams, junior, Rev-
sprend W. T. Dixon, Reverend H. P. Weeden, Reverend James H.
Holmes and Reverend T. H. Shorts, who shall be the third class, be,
and they are hereby, created a body corporate and politic under the
name and style of the Spiller academy, and by that name may have
perpetual succession and a common seal; may sue and be sued, plead
and be impleaded, with power to purchase, receive and hold, to them
and their successors forever, any lands, tenements, rents, goods and
chattels of whatsoever kind, which may be devised or given to them
for the use of said academy, and to lease, rent or otherwise alien said
property in any way which may be conducive to the welfare and in-
terests of said institution, and to establish and carry on an indus-
trial department connected with the said academy, of whatsoever
kind and nature, as best suits the minds of the trustees.
2. The lands, goods and chattels authorized to be held shall not
exceed in amount or value the sum of fifty thousand dollars. A
majority of said trustees for the time being shall be sufficient to au-
thorize the sale of any property belonging to said educational insti-
tution.
3. The board of trustees shall have power to elect its own presi-
dent and other officers; to establish rules, by-laws and regulations
for its government and control; to organize said Spiller academy,
and to appoint its officers, professors, servants and agents; to build
suitable buildinys for its use and occupation; to establish the curric-
ulum of said academy, fix the character of its instruction and the
requisites for the degrees to be conferred by it, and to do any and all
acts which are necessary to the establishment and maintenance of
an academy, university, college, seminary or other institution of
learning. And the president, teachers and professors so appointed
by them shall constitute the faculty of said academy and shall have
power to enforce such regulations as shall be made by them which
are not inconsistent with the laws of the commonwealth, and under
their common seal to issue certificates, grant diplomas as testimo-
nials of proficiency, signed by the faculty.
4. Seven members of the trustees assembled at any regular or
called meeting shall form a quorum to do business. The said trus-
tees shall have power, if they think proper, to appoint an executive
board from their body, consisting of nine, any five of whom shall
constitute a quorum to transact any ordinary business of the corpo-
ration, except to purchase real estate or to invest the funds or for
the removal of officers or teachers or to fix their salaries, but seven
shall be a quorum to transact the above business, subject to the ap-
proval of the said trustees. The said school shall be an educational
academy, and the property owned by it so long as the said corpora-
tion exists is to be devoted to educational purposes as aforesaid.
5. There shall be a president, secretary and treasurer of the board
of trustees, whose several duties shall be defined by the board.
6. The treasurer shall receive all money for the institution and ap-
ply it as the board directs. He shall give bond sufficient for the
safe-keeping of the same, with two or more securities, in such penalty
as the trustees may direct, made payable to the trustees for the time
being and their successors, conditioned for the faithful performance
of his duties, under such rules and regulations as may be adopted by
said board, and it shall be lawful for the trustees or for the Spiller
academy, suing in the name of such trustees or their successors, to
obtain a judgment in any court of record against said treasurer or
hig sureties on said bond for any delinquency occasioned by said
treasurer, after giving ten days’ notice of such motion about to be
made.
7. The trustees shall be fifteen in number, and shall be classified as
first, second and third class. Those of the trustees named as first
class shall continue in office one year, commencing with the first day
of April, eighteen hundred and ninety-four. Those named as second
class shall continue in office two years, commencing with the first
day of April, eighteen hundred and ninety-four. Those named as
third class shall continue in office three years, commencing with
the first day of April, eighteen hundred and ninety-four.
8. One month prior to the expiration of the term of any of the
classes above named, the classes whose terms have not expired shall
have power to name the successors to those whose terms have expired
and fill all vacancies occurring from death, resignation or otherwise.
9. This act shall be in force from its passage.
