Chap. 271.—An ACT to incorporate the South Norfolk street railway company
Approved February 15, 18%.
1. Be it enacted by the general assembly of Virginia, That F. ¢
Taylor, Howard N. Johnson, Parke L. Poindexter, H. L. Smith, J. ¥
Andre Mottu, M. Miller, C. A. Woodard, and E. M. Tilley, and suc
other persons as may be associated with them, their successors an
assigns, be, and they are hereby, created and constituted a bod
corporate and politic under the name and style of the South Norfol
street railway company.
2. The capital stock of the said company shall not be less tha
fifty thousand dollars nor more than three hundred thousand dollar
to be divided into shares of fifty dollars each.
3. The said company shall have power and authority to construc
equip and operate a railroad from some point in the town of Berkle
on the Elizabeth river, to some point on the eastern side of the southe;
branch of the Elizabeth river between Saint Helena and Money Poir
by such route as the said company may adopt, subject to the a
proval or consent of the town council of the town of Berkley as
such parte of said railway as may run through any of the streets
said town, and subject to like approval and consent of the boar@
supervisors of Norfolk county as to such parts of said railway as
may run along or over any of the public roads of said county; and
subject to the approval and consent of the town council of Berkley
and the board of supervisors of Norfolk county, respectively, the said
company may use the streets of the said town and the roads of the
said county for laying its tracks and operating the same.
4. It shall be lawful for said company to transport passengers,
freight and baggage over its line and to collect fare and tolls for the
same; and it may use horse, steam or electric power to propel the
cars on the said road and its branches.
5. The said company shall] have power and authority to construct,
equip and operate a branch of the said main line to and across the
eastern branch of the Elizabeth river to the city of Norfolk; and
with the consent of the board of supervisors of Norfolk county, it
may use such of the public roads of said county as may be needed
for its purpose; and it shall also have the right to cross other rail-
roads and public roads at surface grade, subject to the provisions of
law in such case made and provided.
6. The said company shall have power to acquire and hold such
real estate and personal property as may be necessary for the proper
and successful carrying out of the purposes and business of the said
company, and shall have the right to enter by its agents upon and
cause to be condemned such land as may be needed for said pur-
poses and business, as prescribed by law for the condemnation of
lands for works of internal improvement.
7. The said company shall have power and authority to borrow
money for the uses of said corporation and to issue its bonds or
notes for the same, and to secure the payment thereof by deed of
trust or mortgage on ita property and franchises.
8. The incorporators herein named, or two-thirds of them, shall
meet in the city of Norfolk within ninety days after the passage of
this act and proceed to receive subscriptions to the stock of the said
company; and when the minimum amount of said stock shall have
been subscribed, such subscribers of stock shall proceed to organize
and hold their first meeting and elect a board of not less than five
directors, one of whom shall be president; said board shall frame
by-laws for the government of the corporation and its agents, sub-
ject to alteration by the stockholders in general meeting, and shall
fix from time to time the rates of compensation for transporting
passengers and freight over their road.
9. General meetings of the stockholders shall be convened by
order of the board of directors at least once a year, or upon the
request in writing of any number of stockholders holding in the
aggregate not less than three-fourths of the capital stock. In all
meetings of the stockholders every share of stock represented shall
be entitled to one vote. .
10. The principal office of said company shall be located in the
city of Norfolk, and the annual and special meetings of stockholders
shall be held there.
11. The said company shall commence the construction of its
road within one year from the passage of this act, and complete the
same within three.years thereafter.
12. All taxes due by said company shall be paid in lawful money
of the United States, and not in coupons.
13. The general assembly reserves the right to modify, alter or
repeal this act at any time hereafter.
14. This act shall be in force from its passage.
