Chap. 173.—An ACT to incorporate Wartburg seminary, in Tazewell county.
Approved February 7, 1894.
Whereas, by deed dated June twenty-seventh, eighteen hundred
and ninety-one, and duly recorded in the clerk’s office of Tazewell
county, Virginia, Joseph B. Greever conveyed to A. Phillippi, H. E.
Bailey, J. B. Greever, Thomas Peery, A. Saint Clair, J. H. Crockett,
KE. J. Collins, B. Moore, C. W. Keister and J. A. Greever, as a board
of trustees,and their successors in office, certain lands in or near the
town of Graham, Tazewell county, Virginia, containing twenty acres,
to be used for the establishment of a school of high grade, of Chris-
tian character, and surrounded the gift and conveyance with certain
conditions, to be set out in charter to be obtained by the trustees:
therefore,
1. Be it enacted by the general assembly of Virginia, That A.
Phillippi, HW. FE. Bailey, J. B. Greever, Thomas Peery, A. Saint Clair,
J. H. Crockett, E. J. Collins, B. Moore, C. W. Keister and J. A.
Greever, and their successors, as a hoard of trustees, are hereby cre-
ated and incorporated and made a body politic and corporate under
the name and style of Wartburg seminary, and as such may have
and use a common seal, transact business, hold and transfer perso-
nal and real estate, sue and be sued, conduct an institution of learn-
ing at and in the vicinity of Graham, Tazewell county, Virginia,
establish rules for its government so that the same may not be
contrary to law and the restrictions, limitations and conditions
hereinafter named; to locate and erect suitable buildings, to estab-
lish a curriculum or course of learning and study, and fix the requi-
site for degrees to be conferred, to award diplomas and certificates,
as is done by other colleges and seminaries, and to receive gifts, do-
nations and bequests for increase of endowment fund.
2. Said institution and its property shall be under the government
and control of a board of trustees and their successors, who shall
have power to elect the president of the school, the chaplain, and
all professors and teachers and other officers, and by them shall be
determined the awarding of medals, diplomas and the conferring of
certificates.
3. The majority of the board, together with the president of the
school and the chaplain, shall be members of the Evangelic I.u-
theran church, who receive and subscribe to the unaltered Augsburg
confession of faith, and all members of the board of trustees shall
be members of some orthodox Christian church, and they, the said
trustees, by a majority vote, shall have power to fill all vacancies
occurring in their body.
4. To further conform to the requirements specified in the grant
from the Reverend Joseph B. Greever, the use of the fund granted
is restricted to the town of Graham, Virginia, or its vicinity, where
the school and its offices shall be established, but the. board of
trustees shall have power and may sell all of said property, or so
much thereof as may be necessary, to satisfy and pay off all debts
for money heretofore borrowed by the board of trustees, to pay for
necessary improvements already made on the school building on
said property, and for necessary furniture purchased for said school
building, and for other legitimate expenses incurred by said board
of trustees, in paying teachers’ salaries, and so forth; and all of the
said property shall be liable for all the said debt or debts heretofore
incurred by the said board of trustees in making necessary improve-
ments on said property, in furnishing said school building with fur-
niture and in paying teachers’ salaries and other legitimate expenses
connected with said school; and after all of the said debt or debts,
incurred as aforesaid by the board of trustees, shall have been paid
off and fully discharged, the board of trustees shall have power and
may sell] all of said property, or any part thereof, when it sees an op-
portunity to greatly increase its value or efficiency. The proceeds of
such sale shall, however, be reinvested in buildings or improvements
thereon for school purposes—that is, for the use of the school or for
rents for endowments.
5. The main building and female dormitories, and so forth, shall
be on one lot, or plat of land, and dormitories for the male depart-
ment and all grounds for male exercises shall be on a separate lot or
plat of land; both sexes, however, may recite together, but in other
respects they are to be kept separate. --
6. As soon as practicable, buildings shall be erected, the rent
whereof to be sufficient to pay the salaries of at least two professors
at one thousand dollars each; and any addition to these salaries
shall be derived from the tuition fees, and so forth, of the school
proper, and all moneys remaining over and above current expenses
shall be added to the endowment fund.
7. The board of trustees shall endeavor to secure gifts, donations
and bequests for the increase of the endowment fund, and any indi-
vidual may endow a special professorship for a special purpose not
conflicting or inconsistent with the spirit of other provisions of this
charter.
8. The board of trustees shall grant annually as many free scho-
larships as will be ascertained by dividing the amount of rents, and
so forth, applied to professors’ salary by the regular tuition fee in
the library department.
9. These beneficiaries of scholarships shall not use tobacco nor
intoxicating drinks, nor shall they be grossly careless, immoral nor
licentious, nor shall colored students be received. The board of
trustees shall choose the beneficiaries of scholarships, upon the
recommendation of good, reliable parties.
10. All rents, fees, and so forth, shall be paid to the treasurer, who
shall give bond and security for the faithful performance of his
duty, payable to the institution, to be approved by the board of
trustees. The treasurer shall account to the board of trustees, and
disburse the funds in his hands only by direction of the said board.
11. The buildings to be erected shalt be kept insured.
12. At no time shall the board expend any of the principal of the
fund granted except as above directed.
13. The officers who shall manage the affairs of the institution for
the first year, or until their successors are elected or appointed, shall
be the incorporators herein above named, constituting, together, the
board of trustees.
14. The principal office shall be at Graham, Tazewell county, Vir-
ginia.
15. This act shall be in force from its passage.
