Chap. 683.— An ACT to incorporate the Battis Point wharf
company, in Henrico eounty.
Approved March 8, 1802.
1. Be it enacted by the general assembly of Virginia,
That C. L. McCaull, H. E. Boyer, H. H. Johnson, W. B.
Grover, John T. Lebett, W. H. Cotman, Arthur B. Clarke,
Josiah Throckmorton, or any five of whom may accept the
provisions of this charter, and their associates and suc-
cessors, be, and they are, constituted and made a body
litic and corporate by the name and style of the Battis
oint wharf company, and by that name and style shall
have all the rights, powers and privileges conferred by
and be subject to all the provisions of the general laws of
Virginia in reference to corporations and chartered com-
panies, so far ay the same may be applicable and not in-
consistent with the provisions of this act.
2. The capital stock of said company shall not be less
than five hundred dollars nor more than five thousand
dollars, and shall be divided into shares of ten dollars
each, and the capital stock, if fixed at less than the mini-
mum amount, may be from time to time increased by the
board of directors to an amount not exceeding the maxi-
mum capital, and said board of directors may issue shares
of stock and sell the same at such price as may be fixed
and agreed on by them, and may, in their discretion, re-
ceive and pay for such shares in property, money or ser-
vices rendered, at prices agreed on by said board, and said
maximum amount of capital stock may also be paid-in
property, money or services, at prices agreed on by said
board, or by the stockholders or corporators constituting
the first stockholders’ meeting of said company.
3. The first meeting of the incorporators shall be held
at Battis Point, Henrico county, Virginia, as soon as a
majority of such corporators may there convene; and upon
the minimum amount of such capital stock being taken
or subscribed for by said corporators or other persons,
then such meeting shall constitute the first general stock-
holders’ meeting, and the general annual meeting of such
stockholders shall be held annually thereafter at said
place, or at such other time and place in Virginia as the
stockholders may in general meeting appoint; and the
principal office of said company shall be within the county
of Henrico.
4. The board of directors shall consist of five members,
who shall from their number choose a president, and who
may appoint all such other officers or agents as they may
deem proper; but the stockholders may, in general meet-
ing, at any time increase the number of such directors.
5. The said company may construct, operate and main-
tain, at or near Battis Point, in Henrico county, on James
river, in Virginia, a wharf (said wharf to be subject to all
the laws of Virginia governing all wharves erected in the
waters of the commonwealth), with proper machinery and
appliances for the operation and maintenance of the said
wharf; and said company may acquire, by gift, purchase,
condemnation or other means, so much land at said point
as may be proper for the convenient operation of said
wharf, not to exceed one hundred acres.
6. Said company shall also have authority, after obtain-
ng the consent of the proper Henrico county authorities,
-O construct, operate and maintain a bridge over Four
Mile Creek swamp, in said county, at a point not farther
-han one-half of a mile from where said swamp empties
nto said James river, and may acquire, at the place where
such bridge may be located, so much land as may be
mecessary, not exceeding in amount fifty acres at such
place.
7. All taxes and other public dues accruing from said
company to said state of Virginia shall be paid in lawful
money of the United States, and not in coupons or any
other thing whatsoever.
8. This act shall be in force from its passage.
