Chap. 250.—An ACT to incorporate the Valley Cemetery Association.
Approved March 29, 1876.
. 1. Be it enacted by the general assembly of Virginia, That
C. C. Henkel, F. H. Little, George W. Rosenberger, D. F.
Kagey, George R. Calvert, W. F. Rosenberger, 8. Henkel, F.
L. Rice, J. A. Snyder, B. Z. Price, J. G. Neff, S. P. Shirley,
William M. Sibert, and Martin Urner, citizens of Rockingham
and Shenandoah counties, Virginia, be and they are hereby
made and constituted a body politic and corporate, under the
name and style of The Valley Cemetery Association, with
full power in that name to sue and be sued; plead and be
impleaded; to have a common seal; to make by-laws, rules
and regulations for the government of the company; to pur-
chase and hold property, make contracts, and have such
powers and capacities as is usual in such cases: provided,
that the real estate held by said company shall be held and
used for no other purpose than a cemetery, and shall not
exceed in quantity ten acres, and that the proceeds arising
from the sale of lots, or in any way whatever, after refund-
ing the original cost of the land and other necessary expenses,
shall constitute a fund for the improvement and repairs of
the cemetery: and provided further, that no right of suffrage
shall belong to any member of the company by reason of his
interest in said real estate, or any other of the corporate pro-
perty: and provided further, that the money and personal
property shall not exceed five thousand dollars.
2. That the officers of said company shall be a president,
secretary, treasurer, and fourteen trustees, who shall be an-
nually elected by the company, and whose duties shall be
from time to time prescribed by the by-laws, rules or regula-
tions of the company.
3. That no streets, lanes, roads or alleys, shall at any time
be established or made over the land of the company, or any
part thereof, without the consent of the said company, nor
shall the same be condemned or taken for any public use.
4, That the said company shall, from time to time, elect
from the lot-holders persons to fill the vacancies in the cor-
porate body which may occur by death or removal from the
aforesaid counties: provided, however, that it shall require
at least two-thirds of the remaining corporators to make
such election.
5. That no interest of a cqrporator or lot-holder in the
property of said company shall be subjected in any way to
the payment of debts, pass by insolvency, or into the hands.
of executors or administratgrs, but the rights and interests
shall remain in the families 0f such according to the course
of descents.
6. This act shall be in force from its passage.
