CHAP. 250.—An ACT to incorporate the Jeter Female Institute, at
Liberty, Virginia.
Approved February 17, 1890.
1. Be it enacted by the general assembly of Virginia,
That C. A. Board, W. F. Fisher, R. B. Boatwright, William
H. Wren, William A. Miller, E. W. Luck, and such other
persons as they may associate with them, not exceeding
geven in number, be, and are hereby, constituted and made
a body politic by the name and style of the “ Jeter female
institute,” to be located at Liberty, Virginia, who, and
their successors, shall have perpetual succession and a
common seal; may sue and be sued, implead and be im-
pleaded, contract and be contracted with, and may take,
receive, and hold, by purchase, devise, transfer, or gift,
lands, tenements, rents, goods, chattels, and subscriptions
for the benefit of said institute to an aggregate value not
exceeding one hundred thousand dollars, with full power to
manage, use, sell, rent, or otherwise dispose of the same as
they may deem best for said institute.
2. The said trustees shall have power to appoint and
remove officers for their own body and a faculty of instruc-
tion and other officers for said institute, and to regulate
all feesand salaries. The office of trustee in any case shall
be absolutely vacated by death or removal from the state
of Virginia. The said trustees may, at any annual orother
meeting, remove any member of their body for any other
cause deemed good by them; they may at any meeting
accept the resignation of any member of their body: pro-
vided, that the number of trustees shall never be less than
seven nor more than thirteen. Any vacancy or vacancies
in the maximum number of trustees, however occasioned,
may be filled at any annual or other stated meeting: pro-
vided, that such vacancy or vacancies shall Lave been offi-
cially declared by the trustees and regularly noted in their
minute book at some previous meeting, at least thirty days
before such annual or other stated meeting.
3. The said trustees shall have power to make from time
to time by-laws and regulations not contrary to the laws
of the state. There shall be annual and other stated
meetings of the trustees at such times and places as their
by-laws shall prescribe. There may be special meetings
at the call of their presiding officer or any three trustees,
due notice of all such meetings being given.
4. Seven trustees shall constitute a quorum for the trans-
action of business, and a less number may adjourn from
time to time till a quorum be had; but no sale or encum-
brance, whether by mortgage, deed of trust, or otherwise,
of any real estate belonging to said institute shall be au-
thorized or made, nor shall any officer or member of the
faculty of instruction for said institute be either elected
or removed, nor shall any trustee be removed from office,
unless at least seven of the trustees shall be present and
concurring therein.
5. The said trustees shall elect a treasurer. who shall
give bond in such penalty and with such security as they
shall require, payable to Jeter female institute, conditioned
faithfully to perform the duties of his office; and on fail-
ure so to do, the said treasurer, his surety or sureties, his
or their executors and administrators, may be proceeded
against by motion, upon ten days’ notice, in any court of
record of this commonwealth.
6. The said trustees, in connection with the faculty of
of said institute, shall have power to confer such diplo-
mas and literary titles as they may think best calculated
to promote the cause of education.
7. This act shall be in force from its passage.
