An Act to amend and reenact § 18.1-287 of the Code of Virginia, relating
to the articles of amendment of articles of incorporation; contents
thereof.

Be it enacted by the General Assembly of Virginia:
1. That § 18.1-287 of the Code of Virginia be amended and reenacted
as follows:
§ 13.1-287. The articles of amendment shall be executed by the cor-
poration by its president or a vice president and by its secretary or an
assistant secretary, and verified by one of the officers signing such articles,
and shall set forth:
(a) The name of the corporation.
(b) The amendment so adopted.
(c) Where there are members having voting rights, (1) a statement
setting forth the date of the meeting of the board of directors at which
the amendment was found in the best interests of the corporation and
directed to be submitted to a vote at a meeting of members; the date or
dates when notice was given to each member entitled to vote; that such
notice was given in a specified manner as provided in this Act; that a
quorum was present at such meeting; and that such amendment received
more than two-thirds of the votes entitled to be cast by members present
or represented by proxy at such meeting; or (2) a statement that such
amendment was adopted by a consent in writing signed by all members
entitled to vote with respect thereto.
(d) Where there are no members, or no members having voting
rights, a statement of such fact, the date of the meeting of the board of
directors at which the amendment was adopted, and a statement of the
fact that such amendment received the vote of * at least two-thirds of the
directors in office.
