Chap. 980.—An ACT to incorporate the West Norfolk telephone and telegraph
company.
Approved March 7, 1900.
1. Be it enaeted by the general assembly of Virginia, That G. N.
Wise, W. J. Nelins, and I. M. Braxton, of the city of Newport News,
and W. J. Carney, C. W. Coleman, Henry Kirn, Jr., and R. L. Raby,
of the county of Norfolk, Virginia, their associates and successors,
be, and they are hereby, created and constituted a body corporate by
the name of the West Norfolk telephone and telegraph company, and
by that name may sue and be sued, may make and have a common
seal, contract and be contracted with, and shall have, enjoy, and exer-
cise all the rights and privileges pertaining to corporate bodies under
the general laws of Virginia, including all such rights and privileges as
are by the laws of Virginia granted to telephone and telegraph com-
panies and other companies incorporated for works of internal im-
provement. ’
2. The said company shall have power to construct, equip, main-
tain, and operate lines of telephone or telegraph, or both, and telephone
exchanges throughout the county of Norfolk, Virginia. It may con-
struct and acquire by lease, purchase, or otherwise, and maintain and
operate telephone and telegraph lines, or either, with all necessary fix-
tures and apphances in, under, and along the streets, alleys, highways,
public works, and parks, and through, across, or under the waters in the
county of Norfolk, subject to the following conditions only—namely
That. the ordinary use of such streets, highways, works, and waters h
not thereby obstructed. The company hereby incorporated shall hav
power to acquire by purchase, lease, or otherwise, all real estate o
easements necessary for the convenient erection, maintenance, ane
operation of its lines, offices, stations, and exchanges, and for the gen
eral conduct of its business; and shall have the same power to condem
land in this state which is granted to companies incorporated for work
of internal improvement, and in respect to the construction, mainte
nance, and operation of its poles, wires, and other structures pertain
ing to its lines of telephone or telegraph shall be entitled to procec
in the manner and acquire such title as is set forth in sections twelv
hundred and eighty-eight and twelve hundred and eighty-nine of th
code, and in respect to the real estate needed for offices, stations, anc
exchanges, the said company shall be entitled to proceed in the man
ner and to acquire such title as is set forth in chapter forty-six of thi
code of Virginia.
3. The company may acquire by purchase, lease, or conveyance the
property, capital stock, bonds, rights, privileges, franchises, and im
munities, or any interest therein or part thereof, of any telegraph )
telephone company organized under or created by the laws of this o1
any other state, and may make payments therefor in its own stock
bonds, money or property; and the said company may unite and con.
solidate with any other telephone or telegraph company or companies
upon such terms as may be agreed upon between them; and power is
hereby conferred on such other telephone or telegraph company or com.
panies to transfer by sale or lease their property, rights, privileges
franchises, and immunities, or any interest therein or part thereof, tc
the company hereby incorporated, or to unite or consolidate with it
upon such terms as may be agreed upon between them. The company
mav dispose of the whole or any part of its property, however acquired.
bv sale, lease, or otherwise; may borrow money and may issue bonds,
and may secure the payment of the same by mortgage or deed of trust
upon the whole or any part of its property, works, rights, franchises,
and privileges.
This company shall have power to make connections, by cable or
otherwise, with any other telephone or telegraph company, and with
the cities and towns following—to wit: Norfolk, Portsmouth, Berkley,
Newport News, Hampton, Smithfic ld, Suffolk, or any other town or city
or county not more than twenty miles from the county of Norfolk.
This company Is incorpor ated to carry on a general telephone and
telezraph business within the county of Norfolk, in the state of Vir-
ginia, and to make connections with any other telephone companies
within tw enty miles of the said county.
6. The capital stock of the company shall not be less than two thou-
sand dollars nor more than ten thousand dollars. It shall not be neces-
sary to give any notice of the opening of books of subscription to said
stock, but the same may he subscribed for at such times and in such
manner as a majority of the corporators named in the first section of
this act mav determine. As soon as the minimum amount of the capital
stock shall have been subseribed, there shall be a meeting of the sub-
scribers for the purpose of organizing the company and electing a presi-
dent and board of directors, with or without notice, as the said board
may determine. Subscriptions to the stock of this company may be
payable in money, property, or in the capital stock or bonds of other
telephone or telegraph companies, upon such terms and conditions as
may be agreed upon between this company and the subscribers, or in
such other manner as js provided in section eleven hundred and forty-
eight of the code as amended by subsequent acts of the legislature of
Virginia. ‘The capital stock of the said company may be increased
from time to time until it reaches twenty-five thousand dollars in the
manner following: The board of directors shall pass a resolution declar-
ing that such increase is advisable, and calling a mecting of the stock-
holders to take action thereon; and such meeting shall be held upon
ten days’ notice, given personally or by mail, and such increase in
the capital stock may be authorized after one-half in interest of the
stockholders shall] vote in favor of it.
7. The officers of the company shall be a president and such other
officers as may be provided from time to time by the by-laws of the
company. The votes of the stockholders may be cast in person or bv
proxy.
8. The principal office of the company shall be in the county of
Norfolk, or in any city or town in the said county, or in the city of
Newport News, Virginia.
9. All taxes and debts due or to become due to the state of Vir-
ginia by this company shall be paid in lawful money of the United
States, and not in coupons.
10. All acts or parts of acts inconsistent with the provisions hereof
are hereby repealed.
11. This act shall be in force from its passage.
