Chap. 46.—An ACT to incorporate Newport News lodge, benevolent pro-
tective order of elks, number 315.
Approved January ll, 1900.
Whereas there is established in the city of Newport News, Virginia,
a benevolent institution, known as Newport News lodge, number three
hundred and fifteen, benevolent protective order of elks, which has
for its object mutual aid and assistance in time of sickness and other
distresses, the elevation of the moral and social standard of its members:
and
Wherens it is believed that the facilities of the said institution, for
the accomplishment of its benevolent purposes, will be greatly prompted
by obtaining an act of incorporation of the trustees of the said Newport
News lodge, number three hundred and fifteen, benevolent protective
order of elks; therefore,
1. Be it enacted by the general assembly of Virginia, That R. J.
Mackev, W. H. L. Kent. and W. T. Hopkins, and their successors in
office, he, and they are hereby, constituted and appointed a body politic
and corporate, by the name and stvle of the trustees of Newport News
lodge, number three hundred and fifteen, and hy that name shall have
perpetual succession and a common seal, may contract and be contracted
with, sue and be sued, may acquire by donation or purchase, receive and
possesg, for the use and enjoyment of Newport News lodge, number three
hundred and fifteen, lands and other property. and subject to the wishes
and direction of the said lodge, may rent, sell, convey, invest, improve,
encumber, and otherwise manage and dispose of the same, as to the
said lodge may seem most conducive to the interest and promotion of the
benevolent purposes of the said lodge; borrow moncy and issue bonds
for such length of time as to the said trustees may seem proper, and
svcure the payment thereof bv deed of trust or mortgage upon the prop-
erty, real or personal, of said lodge: provided, the amount of land so
acquired shall not exceed at anv one time two acres, and shall be situated
in the city of Newport News, and the amount of property so acquired,
both rea] and personal, shall not exceed in value at any one time the
sum of ten thousand dollars.
2. The said trustees and their successors shall hold office as trustee
no longer than they remain members of the said lodge, or until their
successors are duly elected and enter upon the discharge of their dutie
as trustees. Such number of trustees as shall be provided for by th
by-laws of the said lodge shall be elected as often and in such manne
as may be prescribed by the laws and regulations of the said lodge, an
shall have power to appoint one of their number as president and one a
secretary and treasurer, and when bonds are required to be given t
the said lodge by any of its officers, the same may be made payable t
the said trustees.
3. The said corporation shall be governed by such rules and regulation
as may be prescribed for its action by the said lodge.
4. A majority of the trustees shall constitute a quorum for the trans
action of business, but no real estate owned by said lodge shall be sol
by the said trustees of said lodge unless such sale is first authorized b
a majority vote of all the members in good standing of the said lodge
in person or by proxy, which shall be attested by a recorded vote o
said lodge at a regular or called meeting.
5. All taxes and debts due the commonwealth shall be paid in lawfu
money of the United States, and not in coupons, both state an
municipal.
6. The general assembly of Virginia reserves the right to alter, amend
and repeal this charter at pleasure.
7. This act shall be in force from its passage.
