CHAPTER 551
An Act to amend and reenact § 12-41 and §§ 18.1-128, 18.1-124 and
18.1-285, as severally amended, of the Code of Virginia, relating to
certain duties of and charges by the clerk of the State Corporation
Commission.

Be it enacted by the General Assembly of Virginia:
1. That § 12-41 and §§ 138.1-128, 13.1-124 and 13.1-285, as severally
amended, of the Code of Virginia be amended and reenacted as follows:
§ 12-41. The clerk of the Commission shall:
(1) Keep a minute book in which shall be recorded all the proceed-
ings, orders, findings and judgments of the public sessions of the Commis-
sion, and the minutes of the proceedings of each day’s public session shall
be read and approved by the Commission and signed by its chairman, or
acting chairman;
(2) Subject to the supervision and control of the Commission, have
custody of and preserve all of the records, documents, papers and files of
the Commission, or which may be filed before it in any complaint, pro-
ceeding, contest or controversy, and such records, documents, papers and
files shall be open to public examination in the office of the clerk to the
same extent as the records and files of the courts of this Commonwealth;
(3) When requested, make and certify copies from any record, docu-
ment, paper or file in his office, and if required, affix the seal of the Com-
mission thereto, and, except when made at the instance of the Commission
or on behalf of the Commonwealth, he shall charge and collect the same
fees as are fixed * by § 18.1-124; and any such copy, so certified, shall
have the same faith, credit and legal effect as copies made and certified by
ne on a of the courts of this Commonwealth from the records and files
ereof ;
(4) Certify all allowances made by the Commission to be paid out of
the public treasury for witness fees, service of process, or other expenses;
(5) Issue all notices, writs, processes or orders awarded by the Com-
mission, or authorized by law, or by the rules of the Commission;
(6) Receive all fines and penalties imposed by the Commission, all
moneys collected on judgments, all registration fees required by law to be
paid by corporations, all fees collected by any officer of the Commission,
and the tax on the seal of the Commission, and shall keep an accurate
account of the same and what disposition has been made thereof, together
with all fees collected by him for services rendered, either by him or his
assistants, and shall, at least once in every thirty days during his term of
office, render a statement of all such receipts and collections to the Comp-
troller, and pay the same into the treasury of the Commonwealth, and
shall keep all such other accounts of such collections and disbursements,
and shall make all such other reports thereof as may be required by law
or by the regulations prescribed by the Comptruller; and
(7) Generally have the powers, discharge the functions, and perform
the duties of a clerk of a court of record in all matters within the juris-
diction of the Commission.
P § 13.1-123. The Commission shall charge and collect the following
ees:
(a) For filing any one of the following, the fee shall be five dollars:
(1) Articles of incorporation.
(2) Articles of amendment.
(8) Articles of merger or consolidation.
(4) An application to reserve a corporate name.
(5) A notice of transfer of a reserved corporate name.
(6) Articles of serial designation.
(7) Articles of reduction of stated capital.
(8) A statement of intent to dissolve.
(9) A statement of revocation of voluntary dissolution proceedings.
(10) Articles of dissolution.
(11) An application of a foreign corporation for certificate of author-
ity to transact business in this State.
(12) A copy of an amendment to the articles of incorporation of a
foreign corporation holding a certificate of authority to transact
business in this State.
(18) A copy of articles of merger or consolidation of a foreign corpo-
ration holding a certificate of authority to transact business in

change of registered agent or both the fee shall be one dollar. Except in
the case of the city of Richmond or the county of Henrico, the Commission,
in respect of domestic corporations, shall collect and remit to the clerk
of the court for the recording of deeds in the city or county in which the
registered office is located an additional fee of one dollar and if the location
of the registered office is changed from one city or county to another the
Commission shall collect and remit fees of one dollar for each of the clerks
to which it is required to give notice.
Whenever the Commission is required to admit any document to
record in its office, it shall collect a * fee of one dollar a page, or a fee of
five dollars, whichever 1s greater, and whenever any such document must
also be recorded in the office of any clerk, the Commission shall collect and
transmit to such clerk * for such recordation a fee in the same amount
plus one dollar for the certification fee.
§ 13.1-124. The Commission shall * charge and collect for furnish-
ing a certified copy of any document, instrument or paper relating to a
corporation, thirty cents per hundred words if the copy is made by typing
and fifty cents per page if it is made by photostating and one dollar and
fifty cents for the certificate and affixing the seal thereto.
The clerk of the Commission shall charge and collect at the time of
any service of process on him as agent of a corporation, five dollars, which
amount may be recovered as taxable costs by the party to the suit or action
causing such service to be made if such party prevails in the suit or action.
§ 13.1-285. The Commission shall charge and collect the following
ees:
(a) For filing any one of the following the fees shall be five dollars:

authority to conduct affairs in this State.

foreign corporation holding a certificate of authority to conduct

(7) A copy of articles of merger or consolidation of a foreign corpo-
rong holding a certificate of authority to conduct affairs in this
tate.
(8) A statement of withdrawal of a foreign corporation.
