CHAPTER 419

An Act to amend the Code of Virginia by adding a section numbered
18.1-41.1, relating to certain actions of the directors or a committee

of a corporation.

Be it enacted by the General Assembly of Virginia:

1. That the Code of Virginia be amended by adding a section numbered
18.1-41.1 as follows:

§ 18.1-41.1. Unless otherwise provided by the articles of incorpora-
tion or by-laws of a corporation, any action required by this chapter to
be taken at a meeting of the directors, or any action which may be taken
at a meeting of the directors or of a committee, may be taken without a
meeting if a consent in writing, setting forth the action so to be taken,
shall be signed before such action by all of the directors, or all of the
members of the committee, as the case may be. Such consent shall have
the same force and effect as a unanimous vote.
