An Act to amend the Code of Virginia by adding thereto a section num-
bered 13-78.1, and to amend and reenact § 18-79 of the Code of
Virginia, the new and amended sections, relating to the granting of
new charters to certain dissolved corporations. H 143

Be it enacted by the General Assembly of Virginia:
1. That the Code of Virginia be amended by adding thereto a section
numbered 13-78.1, and that § 13-79 of the Code of Virginia be amended
and reenacted, as follows:
§13-78.1. In the case of a corporation having no capital stock, the
directors, managers, trustees, or other governing board, shall take the
action required by § 18-78 of the board of directors, and the members of
the corporation the action required by § 13-78 of the stockholders.
§ 13-79. When properly signed and acknowledged, the certificate *
referred to in * §§ 18-78 and 13-78.1, together with certified or cashier’s
ecks, bank drafts, postal notes, or money orders, for the fee, if any,
required by law to be paid to the State upon the charter, for costs, and
for recordation in the office of the Commission and in the proper clerk’s
office, respectively, payable as in the case of obtaining an original charter,
may be presented to the Commission, which shall ascertain whether the
applicants have, by complying with the requirements of the law, entitled
themselves to the charter applied for, and shall issue or refuse the same
accordingly; but the Commission shall not issue the charter unless the
applicants produce before the Commission receipts showing the payment
of the registration fee and franchise tax and any other dues to the State
for all the years since the granting of a charter in the first instance.
