Chap. 322.—An ACT to Incorporate the Trustees of the Grand Lodge of
the Independent Order of Odd-Fellows of the State of Virginia.
Approved March 31, 1873.
Whereas, there is established in the state of Virginia a
benevolent institution known as the Independent Order of
Qdd-Fellows, which has for its object mutual aid and assist-
ance to its members in time of sickness, the burying of de-
ceased members, the support of their widows and the education
of their orphans; and whereas, it is believed that the facilities
of the said institution for the accomplishment of its benevolent
purposes would be greatly promoted by obtaining an act of
incorporation of the trustees of the said Grand Lodge of Inde-
pendent Order of Odd-Fellows of the state of Virginia: there-
fore,
1. Be it enacted by the general assembly of Virginia, That
Marion Colbert, James H. Waters, H. T. Alley, William J.
Riddick, John W. Furgusson, George W. Dame, Phillip Reed,
Isaac C. Wolf, Gideon Sherry, A. B. Adams, A. B. Cochran,
G. R. Head, W. 8. Gilman, Hugh Latham, E. H. Fitzhugh, J.
H. Robinson, William W. Crump, E. C. Robinson, J. B.
Blanks, John A. Collins, John B. Vaughn and Thos. J. Evans,
and their successors, be and they are hereby appointed a body
politic and corporate, by the name and style of the Trustees of
the Grand Lodge of Independent Order of Odd-Fellows of the
| State of Virginia, and by that name shall have a perpetual suc-
cession and common seal; may contract and be contracted
with, sue and be sued; may acquire, receive, hold, possess and
enjoy, and may rent, sell, convey, invest and otherwise manage
or dispose of, as to them may seem most conducive to the in-
terest and promotive of the benevolent purposes of the said
Grand Lodge of Independent Order of Odd-Fellows of the
state of Virginia, all lands, money, or other property, real or
personal, which may have been, or which may be given or
otherwise acquired for the use of the said Grand Lodge of In-
dependent Order of Odd-Fellows of the state of Virginia ;
and the said trustees and their successors shall hold office as
trustees no longer than they remain members of the said
Grand Lodge of Independent Order of Odd-Fellows of the
state of Virginia, or till their successors enter upon the dis-
charge of their duties as trustees: provided, that the sum of
money so acquired shall not exceed one hundred thousand dol-
lars; and provided, that the amount of land held by them for
permanent use shall not exceed a half acre in the city of Rich-
mond.
2. The said trustees and their successors, as a board, shall
have power to fill vacancies in their own body, the persons to
fill such vacancies to be chosen from the said Grand Lodge of
the Independent Order of Odd-Fellows of the state of Vir-
ginia, appointed according to the laws and rules of the afore-
said Grand Lodge of the Independent Order of Odd-Fellows
of the state of Virginia, and shall have power to appoint such
officers as may be requisite, and shall exact from any of them
such bonds or other security in such penalty as the trustees
shall direct, conditioned for the faithful performance of their.
duties, and the bonds of the secretary and treasurer of said
grand lodge, and other officers of whom bonds may be re-
quired, may be made payable to said trustees.
3. Five trustees shall constitute a quorum for the transac-
tion of business; but it shall require a majority of all the
trustees to constitute a quorum for the sale of real estate.
4. This act shall take effect from its passage, and shall be
subject to amendment, modification or repeal, at the pleasure
of the general assembly.
