Chap. 161.—An ACT to Incorporate the Mutual Benevolent Association of
the Orange, Alexandria and Manassas Railroad Company.
In torce March 19. 1872.
_ 1. Be itenacted by the general assembly of Virginia, That
J. E. Waddey, C. Powell, M. McLean, J. Fisher, John T.
Nalls, J. Lewis Evans, Samuel S. Brown, James T. Peyton,
John D. Javins and Thomas Dobie, together with such other
persons as are now associated with them as members of “The
Mutual Benevolent Association of the Orange, Alexandria and
Manassas Railroad Company” and their successors, be and
they are hereby created a body politic and corporate, by the
name and style of “The Mutual Benevolent Association of the
Orange, Alexandria and Manassas Railroad Company,” and by
that name shall have perpetual succession and a common seal ;
may contract and be contracted with, sue and be sued, plead
and be impleaded, receive and hold to them and their successors
forever any lands, tenements, rents, goods and chattels of what
kind soever, which may be devised or given to the said “ Mu-
tual Benevolent Association,’ or which may be by the said
“Mutual Benevolent Association” purchased for the use of the
same; and also to lease, rent, sell or otherwise dispose of the
said property as shall be deemed best for the good of said as-
sociation: provided, that the property to be held by the said
association shall not exceed in value the amount of fifty thou-
sand dollars.
2. That the members of the said association or such number
thereof as they shall ordain to be a quorum for such purposes,
shall have power to make such constitution, by-laws, rules and
regulations, not contrary to the laws of this state and the
United States, as they shall consider proper for the government
of the said association and its officers; to appoint and remove
such oflicers; to provide for the admission and expulsion of
members, and to require such fees, fines and contributions as
they shall think requisite for the purposes of said association.
3. The affairs of the said association shall be managed by a
president, vice-president, secretary, treasurer and a board of
six directors, all of whom are to be elected by the members of
the association; but the officers who shall for the first year
manage the concerns of the company shall be J. E. Waddey,
president; C. Powell, vice-president; M. McLean, secretary;
J. Fisher, treasurer; and John T. Nalls, J. Lewis Evans, Sam-
uel S. Brown, James F. Peyton, John D. Javins and Thomas
Dobie, directors ; all of whom shall hold their offices until their
successors are duly elected.
4. That the said J. E. Waddey, C. Powell, M. McLean, J.
Fisher, John T. Nalls, J. Lewis Evans, Samuel S. Brown, Jas.
F. Peyton, John D. Javins and Thomas Dobie and their asso-_
ciates, members of “The Mutual Benevolent Association of the
Orange, Alexandria and Manassas Railroad Company,” may
give, transfer or subscribe to the said association hereby incor-
porated (which said association is hereby empowered to re-
ceive, hold and use), all moneys, books, blanks and other pro-
perty now owned or held by them as members of the said
“Mutual Benevolent Association.”
5. This act shall be in force from its passage.
