Chap. 137.—An ACT to Incorporate the Suffolk Collegiate Institute.
In force March 4, 1872.
1. Be it enacted by the general assembly of Virginia, That
Rev. W. B. Wellons, Patrick H. Lee, Exum L. Eley, Joseph
Boothe, Thomas S. Kilby, John C. Thomas, Rev. J. N. Man-
ning, David B. Dunbar, H. D. Cowper, A. W. Ballard, John R.
Copeland, Thomas R. Gaskins, E. F. Williamson, ‘Willis S.
Riddick, David C. Lassiter, E. B. Britt, Irvin W. Duck, John
T. Harris, Ro. R. Smith, Mills L. Watkins, and Alexander
Savage, and their successors, be and they are hereby consti-
tuted a body politic and corporate, under the name and style
of “The Suffolk Collegiate Institute,” in Nansemond county,
Virginia; and by the said name of “The Suffolk Collegiate In-
stitute,’ shall have perpetual succession, 8 common seal, and
may sue and be sued, plead and be impleaded, in any court of
law or equity, and shall be capable in law to receive, hold and
dispose of real and personal property, in order to carry out
the purposes of their incorporation: provided, the real pro-
perty shall not exceed one hundred acres at any one time, not
exceed in value at any one time twenty thousand dollars, nox
the personal property at any one time ten thousand dollars,
exclusive of library and apparatus.
2. The corporators aforesaid shall have power to issue certi-
ficates of stock in such proportions as they may think proper.
which stock may be transferred from time to time as stock ir
other corporations, and the owners of such stock for the time
being shall have the control and management of said institute
and they may appoint a president of said institute, and sucl
teachers and professors as they may deem proper, and also ¢
treasurer, and such other officers as they may deem necessary
and shall have power to make such by-laws, rules and regula
tions, not contrary to the laws of this state and of the Unitec
States, as they may deem proper for the good of said institute
-and to remove any of its officers or teachers, and in connection
with the president and teachers or professors of said institute,
to confer such diplomas and literary titles as they may think
best caleulated to promote the cause of education.
8. The shareholders im said institute shall have power to
provide how many in ninber or interest shall constitute a
quorum, and to fix the term of office of officers or teachers,
and to fix the times and places of meeting, and to prescribe
the duties of treasurer and all other othicers, and to require a
bond of said treasurer in such penalty as may be deemed suf-
ficient, payable to the corporation, and con litioned for the
faithful dise haree of his duties.
4. This act shall be in force from its passage.
