Chap. 272,—An ACT to Incorporate the Rockbridge and Alleghany Rail-
road Company.
Approved March 30, 1871.
1. Be it enacted by the general assembly, That W. W. Mar-
tin, D. Z. Brickell, David Richey, Benjamin Crowther, Howell
Fisher, John Echols, R. H. Catlett, their associates and succes-
sors, shall be and are hereby created a corporation, by the name
of The Rockbridge and Alleghany Railroad Company, for the
purpose of constructing a railroad from some point on the
Chesapeake and Ohio railroad, at or near Goshen, to some
point on the Chesapeake and Ohio railroad west of Milboro’
depot, on said road.
2. The capital stock of the company shall not exceed five
hundred thousand dollars, and shall be divided into shares of
one hundred dollars.each. When ten thousand dollars thereof
are subscribed, the subscribers may organize the company,
and exercise the functions of a corporation, in accordance with
the provisions applicable thereto in the Code and Statutes of
Virginia, with power to construct and operate said railroad,
or any part thereof, of any gauge the directors thereof may
determine. And the directors of said company, or a majority
of them, shall, by and with the consent of the stockholders in
general meeting assembled, have power to borrow money for
the purpose of this act, and to issue proper certificates of such
loans, and to pledge the property of the company, by mort-
gage or otherwise, for the payment of the same, and the inte-
rest that may accrue thereon.
3. The said company may enter into arrangements with the
Chesapeake and Ohio railroad company for the necessary roll-
ing stock to be furnished to said company, or for a lease of its
road for any specified time; or may contract for the sale and
transfer of all its property, rights, charter, franchises, and
stock, to the said Chesapeake and Ohio railroad company:
provided, that such sale or transfer be confirmed by three-
fifths of all the stockholders of said Rockbridge and Alleghany
railroad company.
4, This act shall be in force from its passage.
