Chap. 145.—An ACT to Incorporate the Virginia Female Orphan Home.
Approved March 18, 1871.
1. Be it enacted by the general: assembly of Virginia, That
John B. Cary, John A. Dearborn, Landon A. Cutter, Chris-
topher T. Browne, Chester Ballard, and such others as are now
or may be hereafter associated with them, their successors and
assigns, are herby constituted and made a body politic and
corporate by the name of the Trustees of the Virginia Female
Orphan Home, by which name they shall have perpetual suc-
cession, may sue and be sued, contract and be contracted with,
and have and use a common seal, with power to purchase, re-
ceive and hold lands and tenements, goods and chattels, and
moneys, for the use and benefit of said association, to an
amount not exceeding two hundred thousand dollars in value.
2. The object of the said association shall be to provide for
and to educate destitute female orphan children of the state, and
such other female children as the trustees or directors of said
ueeaention may think proper to admit to its benefits and privi-
eges.
3. That the said trustees, or a majority of them, shall choose
annually, by ballot, a president and board of directors, of not
less than five nor more than thirteen members, who shall select
their own officers, including a secretary and treasurer, and such
agents and teachers as may be deemed necessary, and to whom
shall be confided the general management of the institution
during their term of office. The president of the board of
trustees shall be, ex-officio, the president of the board of di-
rectors. . ;
4. The board of directors shall take bond from the treasurer,
payable to the trustees of the Virginia female orphan home,
in such penalty and with such security as they may deem rea-
sonable, and conditioned for the faithful discharge of the duties
of his office.
5. That when there shall be a vacancy in the board of trus-
tees, occasioned by death, resignation, removal, or otherwise,
the remaining trustees, or a majority of them, shall, on being
notified by the president or secretary, at least thirty days pre-
viously, proceed to supply such vacancy. The trustees shall
meet annually, or whenever a majority of their number shall
deem it necessary.
6. The board of trustees of this institution shall not be less
than five, nor more than twenty-one members, a majority of
whom shall constitute a quorum.
7. The trustees may adopt such constitution, rules, regula-
tions and by-laws, not contrary to the laws of this state, nor
of the United States, as they may deem necessary for the good
of the institution.
8. Said institution shall be located at such place in the state
of Virginia, as a majority of the trustees may agree upon.
9. The board of directors shall have the custody of each
beneficiary of the institution, until she shall arrive at the age
of eighteen years, or be discharged from the same; and shall
have all such control of the conduct and actions of such bene-
ficiary as would be conferred on a guardian appointed by the
court. .
10. That any property held by the Virginia female orphan
home, for its legitimate purposes, shall be exempt from public
taxes, so long as any property held by other institutions of
learning or benevolence in the state for their legitimate pur-
poses, shall be exempt; and whenever any tax shall be laid
upon the same, it shall not exceed the tax which may be laid
upon similar institutions in the state.
11. This act shall be in force from its passage.
