Chap. 668.—An ACT to incorporate the Rockfish Valley Railway Company.
Approved April 2, 1902.
1. Be it enacted by the general assembly of Virginia, That Robert F
Smith, Christopher Schenot. David H. Smith, Joseph Narretti, G. W
Smith, Leightby Steen, John R. Francis, F. W. Schomaker, Doctoi
J.C. Everett. their associates, successors, and assigns, be, and they ar
hereby, constituted and declared a body politic and corporate under th
name and style of the Rockfish Valley Railway Company, under whiel
name it may sue and be sued, plead and be impleaded, contract and by
contracted with, shall have perpetual succession, and may have a cor
porate seal, and make by-laws and regulations for the government o;
said company and its cmplovees not inconsistent with the laws of thi:
Commonwealth.
2. The capital stock of said company shall be three hundred thousanc
dollars, divided into shares of one hundred dollars cach, and it shall be
lawful for any other company, county, city, town, or individual to sub
scribe to the capital stock of said railway company.
8. The said Rockfish Valley Railway Company shall have, possess, anc
enjoy all the rights and privileges of a corporation or body politie in the
law necessarv for the purposes of this act, with power to acquire, by con
demnation or otherwise. according to the laws of Virginia, all lands neces
sary for its purposes.
4. It shall be lawful for said company to subscribe to and share it
the capital stock of any mining, manu facturing, or improvement com
pany, or to unite or consolidate with anv mining, manufacturing, or im
provement company; may subserihe to. guarantee, or hold the stock o
bonds of said company, or unite or consolidate therewith,
5. It shall be lawful for said company to borrow money, and to hav
power to issue and sell bonds at such times and on such terms as th
directors may deem expedient; and in order to secure the payment of 1
bonds, or the repayment of the money so borrowed, may create mortgaz:
or deeds of trust upon all or any of its property—real, personal. «
mixed—its contracts and privileges, rights and franchises, including 1
franchise to be a corporation; and it may, as the business of the con
pany requires it, sell, lease, convey, or encumber the same.
6. It shall be lawful for the said Rockfish Valley Railway Compan:
and it is hereby authorized, empowered, permitted, to locate, construc
equip, and operate a railway beginning at some point on the Chesapeah
and Ohio railroad between the Blue Ridge tunnel, in Nelson county, an
Crozet, in Albemarle county, and running up through the Rockhi:
Valley, in Nelson county; thence,to some point on the Southern rai
road north of Lynchburg, Virginia. And the scid company may recei\
cash, labor, services, material, bonds, stocks, real and personal propert
in payment of subscriptions to the capital stock at such valuation an
such price as may be agreed upon between the directors and the sul
scribers.
%. For the purpose of organizing said company the persons first name
in this act, or such of them as shall accept the provisions thereof, sha
constitute and have all the powers of a board of directors for the fir:
year, and shall continue in office until their successors shall be elected an
qualified, and three or more may act and receive subscriptions to th
capital stock at any time and place; and whenever twenty-five thousan
dollars of the capital shall have been subscribed, the corporators, 3a
a board of directors, shall proceed to organize the company by the ele
tion of such officers and agents as may be deemed necessary. And suc
organization shall be certified on the books of the company, and thei
certificate or a copy thereof, duly authenticated by a notary public, sha
be received'as legal evidence of the legal organization of said company.
8. The directors of said company shall be stockholders, and they sha
be elected by the stockholders at their annual meeting, and they shall cor
tinue in office until their successors are elected, and they may fill an
vacancy in their board.
9. No stockholder shall be held lable for the indebtedness of sai
company in a sum greater than may be due on stock subscribed for, an
each stockholder shall be allowed to cast one vote, either in person or i
proxy, for each share of stock owned by him.
10. It shall be lawful for said company to use any motive power fo
propelling the machinery and operating said railway whenever it shall )
deemed expedient and advantageous to do so. And it is hereby em
powered and authorized to sell or lease any portion of its power ove
and above what may be necessary for its successful operation and worl:
ing to any individual company or corporation.
11. The construction of said Rockfish Valley railway shall be begu:
within two years from the passage of this act and completed withi
five vears thereafter, and that its principal office shall he at “Nellys Ford.
in Nelson county, Virginia; and the board of directors of said compan.
shall establish offices and agencies at such places as they may deem prope
12. The said company is authorized and empowered to locate, con-
struct, equip, and operate lateral or branch roads from any point on its
main line to any town or mines or other operations in any county through
which it shall pass, or in the counties adjacent thereto: provided, said
lateral or branch roads shall not exceed twenty miles in length.
13. All taxes which may be assessed against said company shall be paid
in lawful money of the United States.
This act shall be in full force from its passage.
