Chap. 263.—An ACT to incorporate the Petersburg Iron Works.
Passed December 9, 1869.
1. Be it enacted by the general assembly of the state of
Virginia, That William T. Joynes, William E. Hinton, A. G.
McIlwaine, Robert D. McIlwdine, and their associates, at
present doing business under ‘the name of the Petersburg’
iron works, be and they are hereby constituted a body cor-
porate, for the purpose of manufacturing engines, cars, agri-
cultural and other implements and machinery generally, and
for the purpose of mining iron, under the name and style of
The Petersburg Iron Works; under which name, they shall
be entitled to all the rights and privileges of a corporation,
and be subject to the provisions of the Code of Virginia, and
the acts amendatory thereof, as far as the same may be appli-
cable, and not inconsistent with this act.
2. The capital stock of said corporation shall be divided
into shares of five hundred dollars each, and shall be, in the
aggregate, not lesa than seventy-five thousand dollars nor
more than three hundred thousand dollars.
3. It shall not be necessary to open books of subscription
for the stock of said company; but it shall be lawful for the
parties hereby incorporated to proceed at once to organize
the company; and the organization shall be as valid in all
respects as if the same proceedings were had as required by
the Code. ‘
4. Any general meeting of the stockholders, after the first,
may be called upon such notice as may be prescribed by the
by-laws of said company: provided the same shall not be
less than ten days. ,
5. The said company shall not hold, at one time, more than
twenty thousand acres of land, of which not more than five
acres may be in the city of Petersburg, not more than ten
acres in the county of Chesterfield, and the residue in the
counties of Botetourt and Alleghany, or either of them.
6. This act shall be in force trom its passage.
