Chap. 246.—An ACT to incorporate the Dover Company.
Passed January 25, 1866.
1. Be it enacted by the general assembly of Virginia, That
Joseph R. Anderson, William H. Aspinwall, Charles P. Stone
and Joel Parker, and their associates and successors, or a
majority of them, are hereby created and constituted a body
politic and corporate, by the name and style of The. Dover
Company; for the purpose of holding and possessing real
estate in the counties of IIenrico and Goochland, in the state
of Virginia, not excecding five thousand acres, and other
property, and of mining, transportation and manutacturing ;
and by that name and style, shall have perpetual succession ;
may contract and be contracted with; sue and be sued, plead
and be impleaded, in all courts and places; have a common
seal, and all the rights and privileges of a corporation, and
be subject to all the rules, regulations and restrictions im-
posed by the Code of Virginia, in relation to joint stock
companies, so far as they are applicable to, and not inconsis-
tent with the provisions of this act.
2. That the capital stock of said company shall not be less
than five hundred thousand dollars nor more than one million
of dollars, to be divided into shares of one hundred dollars
each; and said capital may be increased to the limit aforesaid,
from time to time, by the directors of the said company.
3. That the company shall have authority to make, from
Lime to time, such by-laws and regulations as it may deem
necessary or proper for the management of its affairs; may
fix the number of its directors, two or more of whom shail
pe residents of Virgimia; and may hold its meetings in either
the county of Goochland or in the city of Richmond or else-
where, as a majority of the directors may determine; and in
all general meetings of the company, the stockholders pre-
sent, in person or by proxy, shall be entitled to a vote on
each share of their stock.
4+. That the company may construct a railroad, to connect
with the James river and Kanawha canal, or with any rail-
road at the nearest and most direct point on such canal or
road from such works, but shall not pass-through the land of
Any person without his consent; and it may also own and
employ ¢ canal barges and seavoing vessels.
5, This act shall take effeet from and after its passaye, and
shall be subject to amendment, modification or repeal, at the
pleasure of the general assembly.
