Chap. 244.—An ACT to incorporate the Carbon Hill Coal Company.
Passed February 7, 1866.
1. Be it enacted by the general assembly of Virginia, That
James Dunlop, Thomas W. McCance and John J. Werth,
their associates and successors, or a majority of them, are
hereby created and constituted a body politic and corporate,
by the name and style of The Carbon Hill Coal Company;
for the purpose of purchasing and holding real estate and
other property in the state of Virginia, and of mining, trans-
porting, manufacturing and selling coal, iron and other min-
erals and metals; and by that name and style, shall have
perpetual succession; may contract and be contracted with ;
sue and be sued, plead and be impleaded, in all courts of law
and equity ; have a common seal; and shall be invested with
all the rights, powers and priv ileges conferred, and be subject
to all the rules and regulations and restrictions imposed by
the Code of Virginia, in relation to joint stock companies, so
far as its provisions are applicable to, and not inconsistent
with the provisions of this act.
2. That the capital stock of said company shall not be less
than two hundred thousand dollars nor more than one million
of dollars, to be divided into shares of one hundred dollars
egch; and the said capital may be increased from time to
time, to the limit aforesaid, by the directors of said company.
3. That the company may hold lands in the counties of
Henrico, Goochland, Chestertield, Powhatan, Botetourt and
Rockbridge, not exceeding three thousand acres in any one
county; may hold shipping yards, not exceeding five acres,
at any point on the Pamunkey or York river; may construct
railroads (with the consent of the owners of lands through
which such roads may pass) connecting the lands of said
company with any railroad now or hereatter established by
law; and may own and employ canal boats and seagoing
vessels.
4. That the company shall have authority to fix the num-
ber of, and appoint its board of directors; to make such by-
laws and regulations as it may deem proper for the managc-
ment of its ‘alfairs ; and may hold its meetings either in the
county of Ienrico, the city of Richmond or elsewhere, as
the said company may from time to time elect.
5. That this act shall be in force from the passage thereof;
but shall be subject to amendment, modification or repeal, at
the pleasure of the general assembly.
