Chap. 240.—An ACT to incorporate the Virginia Valley Iron and Mann-
facturing Company.
Pasced February 10, 1860.
Be it enacted by the general assembly of Virginia, That
Louis 7 forton Montgomery and George William W hitaker,
and their associates and snecessors, or a majority of them.
are hereby created and constituted a body politic and corpo-
rate, by the name and style of Virginia Valley Iron and
Manut: icturing Company; for the purpose of holding and
possessing real estate in the counties of Rockbridge, Bedford
aud Botetourt, in the state of Virginia, not exceeding five
thousand acres, and other property; and of mining, trans-
portation and manufacturing; and by that name and style
shall have perpetual succession; may contract and be con
tracted with; sue and be sued, plead and be impleaded,‘in all
courts and places; have a common seal, and all the rights and
privileges of a corporation, and be subject to all the rules,
regulations and restrictions imposed by the Code of Virginia,
in relation to joint stock companies, as far as applicable to.
and not inconsistent with the provisions of this act.
2. That the capital stock of said company shall not be less
than fifty thousand dollars nor more than two hundred and
fitty thousand dollars, to be divided into shares of one hun-
dred dollars each; and said capital may be increased to the
limit aforesaid, from time to time, by the directors of the
said company.
3. That the company shall have authority to make from
time to time such by-laws and regulations as it may deem
necessary or proper for the management of its affairs; may
fix the number of its directors, two or more of whom shall
be residents of Virginia; and may hold its mectings in either
of the counties of Rockbridge, Bedford or Botetourt, or in
the city of Richmond or elsewhere, as a majority of the
directors may determine: and in all general meetings of the
company, the stockholders present, in person or by proxy,
shall be entitled to a vote on each share of their stock.
4. That the company may construct a canal, to connect
with the James river and Kanawha canal, at the nearest and
most direct point on such canal from their works, but shall
not pass through the land of any person without his consent ;
and it may also run and employ canal barges and seagoing
vessels.
). This act shall take effect from and after its passage, and
shall be subject to amendment, modification or repeal, at the
pleasure of the general assembly.
