Chap. 207.—An ACT to incorporate the Valley Railroad Company.
Passed February 25, 1806.
1. Be it enacted by the general assembly, That it shall be
lawful to open books of subscription i in Harrisonburg, in the
county of Rockingham, under the direction of A. M. New-
man, 8. A. Coffman and M. Tarv ey Effinger, or any ‘two of
them ; in Staunton, in the county of Augusta, under the di-
rection of Nicholas K. Trout, Michael G. Harman and George
Baylor, or any two of them ; in Lexington, in the county of
Rockbridge, under the direction of James G. Paxton, Dr.
James McD. Taylor and William C. Lewis, or any two of
them; in Buchanan, in the county of Botetourt, under the
direction of John 8. Wilson, William D. Couch and Alphonzo
Finney, or any two of them: in Fincastle, in the said count
of Botetourt, under the direction of William E. M. Word.
Thomas G. Godwin and William A. Glasgow, or any two of
them; and in Salem, in the county of Roanoke, under the
divection of Bernard Pitzer, Frederick Johnston and Georve
W. Shanks, or any two of them: and in such other place or
places, and under the direction of such agent or agents as a
majority of the commissioners at either of the above named
places may designate, for the purpose of receiving subserip-
tions to the amount of three millions of dollars, in shares of
one hundred dollars each, to constitute a joint capital stock
for the muking of a railroad from the said town of ILarrison-
burg, in the county of Rockingham, by way of the said towns
of Staunton, Luexineton. Buehanan and Fineastle, as nearly
as practicable, consistently with the public interests of the
improvement, to a suitable point of connection with the Vir-
eimia and ‘Pennessee railroad, at or near the said town of
Salem, in the county of Roanoke, and providing everything
necessary for convenient transportation on the same.
2. Whenever one hundred thousand dollars of stock shall
have been subseribed, the subseribers, thei executors, ad-
ministrators and assigns, shall be and are hereby declared to
be a body politic and corporate. under the name and style of
The Valley Railroad Company; and shall be subject to all
the provisions of the Code of Virginia appheable to internal
Improvement Companies, except so far as the same may be
Inconsistent with the provisions of this act.
3. If the capital stock of said) Company shall be deemed
insufficient for the purposes of this act, it shall and may be
lawful for the directors, or a majority of them, from time to
time to increase the same, by the addition of so many shares
as they may deem necessary; for which they may, at their
diseretion, cause subscriptions to be received, in such man-
ner as may be prescribed by them, or may scll the same for
the benetit of the said company, for any sum not under the
par value thereof: and the sid) directors, or a majority of
them, shall. by and with the consent of the stockholders in
general meeting assembled. have power to borrow money for
the purposes of this act, and to issue proper certificates of
such loans, and to pledge the property of the company, by
mortgage or otherwise, for the payment of the same and the
interest that may accrue thereon.
4. The said Valley railroad company shall, at one or more
points within or near the eorporate limits of the town of
Lexineton, construct one or more depots upon the boundary
line of the ground condemned to the use of the North river
navigation company; and shall, at one or more points within
the corporate Tnnits of the town of Duchanan, construct one
or more depots on the boundary line of the land condemned
to the use of the James river and Wanawha company ; and
they shall deliver from the said depots any treight or tonnage
intended for transportation, either on the canal at Lexington
or on the canalat:$ Buchanan; and shall receive into the said
depots any merchandise or other freteht coming upon either
of the said canals, and intended for transportation on the
said Valley railroad; and no ndditional or extra charee shall
be made by the said) Vadley radread eompany for such de-
livery out of or receiving into the said depots: provided,
however, that it shall not be lawful to complete the said rail-
road to a point nearer than twenty miles of the Virginia and
Tennessee railroad, earlier than one year after the Coy Ineton
and Qhio railroad shall be completed.
