Chap. 204.—An ACT incorporating the Richmond, Fredericksburg and
Potomac, and the Richmond and Petersburg Railroad Connection
Company.
Passed March 3, 1866,
1. Be it enacted by the general assembly, That it shall be
lawful to open books in the city of Richmond and in the city. of
Petersburg, and at such other place or places as a majority of
the commissioners hereinafter mentioned shall think fit, under
the direction of R. B. Haxall, P. V. Daniel, Charles Ellis,
G. A. Myers and T. H. Wynne, or any two of the same, or
of any deputies or agents of the said commissioners, for the
purpose of receiving subscriptions to the amount of not less
than two hundred thousand dollars and not more than five
hundred thousand dollars, in shares of one hundred dollars
each, to constitute a joint capital stock for the purpose of
making a railroad from some point at or near the southern
terminus of the Richmond, Fredericksburg and Potomac rail-
road, to a point at or near the northern terminus of the
Richmond and Petersburg railroad, so as to form connection,
by railroad, between thie said termini respectively: provided,
however, that the points of termini and the location and
character of the said connecting roads shall be determined
by the president and directors of the Richmond, Fredericks-
burg and Potomac railroad company, and of the Richmond
and Petersburg railroad company, as to the connecting road
between their roads; subject to the provisions of chapter
fifty-six, sections four, twenty-three, twenty-four, twenty-five
and twenty-six of the Code of Virginia. |
2. Be it further enacted, That the time and place for re-
celving subscriptions as aforesaid shall be advertised in one
or more newspapers published in the cities of Richmond and
Petersburg, and in such other places as the commissioners, or
those of them acting in the premises, may deem expedient;
and in receiving subscriptions for the capital stock, and pay-
ments thereof, and in the meetings of the stockholders, the
election of officer s, and in organizing the company generally,
the provisions of chapter fifty-seven of the Code of Virginia,
so far as the same are applicable, are hereby adopted as it the
same were enacted as parts of this act; and whenever fifteen
hundred shares are subscribed, and payment made thereon,
so as to entitle the subscribers to be incorporated, the sub-
scribers, their executors and administrators and assigns, shall
be and are hereby incorporated into a company by the name
and style of The Richmond, Fredericksburg and Potomac,
and the Richmond and Petersburg Railroad Connection Com-
pany; subject to the provisions, and entitled to the benefits,
so far as the same are applicable, of chapters fifty-six, fifty-
seven and sixty-one of the Code of Virginia. .
3. Be it further enacted, That the works hereby authorized
to be constructed shall be located with grades adapted to the
transportation of freight as well as passengers, and they shall
be prosecuted with diligence to completion; and if the con-
struction of the works be not commenced within one year
from the passage of this act, nor. completed within three
years thereafter, then this charter shall be forfeited: provided,
that if, within the period of sixty days from the organization
of the company hereby incorporated, the board of directors
thereof shall be unable to agree with the common council of
the city of Richmond as to the proper location of said con-
necting road within said city, then the said company shall
hfve the right to construct the said connecting road outside
of the corporate limits of said city.
4. Be it further enacted, That for transporting passengers
over the said connecting road, it shall be lawtul to charge a
toll of not more than titty cents for each passenger over said
road, and for transporting goods, produce, merchandise and
other articles over the said road, an average rate of tolls of
not more than five cents per mile for each hundred pounds
so -oarried over the said road: provided, that the rates of toll
authorized by this section shall not apply to freights or pas-
sengers transported only between the cities of Richmond
and Petersburg: and provided further, that whenever the
net profits accruing from transportation over the said con-
nection shall be such that, but for this section, dividends
might be declared out of the profits, exceeding fifteen per
centum per annum on the capital stock inv ested, after pay-
ment of all necessary expenses, and after setting apart a fair
and reasonable sum for repairs of said company’s roadway
and other structures, then the said rates of toll shall be re-
duced by the said company, so as to enable them to divide
fifteen per centum per annum.
5. Be it further enacted, That it shall be lawful, by agree-
ment between the company chartered by this act, and the
said Richmond, Fredericksburg and Potomac railroad com-
pany, and the said Richmond ahd Petersburg railroad com-
pany, or either of the said companies, to transport passengers,
goods, produce. merchandise and other articles over the
railroad connecting the termini of said last mentioned roads
as atoresaid, upon such torms as may be aureed between
them. And the said Richmond, Fredericksbure and Potomac
railroad company and the Richmond and Petersbur ¢ railroad
company. or either of them, shall have the right at any time.
not less than ten and not more than twenty years after the
completion of the said connecting railroad, to purchase the
said road connecting their two railroads, from the company
chartered by this act. paying for the same a fair valuation. to
be ascertained by three commissioners, one of whom shall be
chosen by the company hereby incorporated: another, by
the company or companies proposing to purchase the said
connecting road: and the third, by the board of public works:
and upon tendering the same to the company chartered by
this act. in lawful currency of the United States, all the right,
title. estate and franchises of the company chartered by this
act, in and to the property so purchased, shall cease and de-
termine; and the same shall belong to anil vest in the com-
pany or companies tendering the same. And should the saia
Richmond, Fredericksburg and Potomac railroad company
and the Richmond and Petersburg railroad company, or
either of them, make the purchase trom the said company
chartered by this act, in the manner herein provided, the
said companies, or the company making such purchase, shall
succeed to and enjoy the right of transporting passengers
and goods, merchandise and other articles over the road so
purchased, and of charging tolls therefor, in the same manner
and to the same extent as the said company or companies 80
purchasing is or are entitled to charge tolls on other portions
of its or their railroads.
6. Be it further enacted, That the common council of the
city of Richmond shall be authorized to subseribe for, pur-
chase and hold so much of the stock of the company hereby
incorporated as they shall elect. not exceeding, at its par
value, two-thirds of the estimated or actual cost of the said
connecting road, within or near the corporate limits of the
city.
