Chap. 182.—An ACT to ineorporate the Virginia Land and Aid Inmmiiagra-
tion Company.
Passed February 0, 1865,
1. Be it enacted by the general assembly of the state of
Virginia, That Samuel M. Wilson, Asa Rogers, W.S. Barton,
R. LL. Montagne, Lewis D. Crenshaw, Lewis FE, Harvie, W.
FP. Price, and all such persons as they may associate with
themselves, are hereby created a body politie and corporate,
under the name of The Virginia Land and Aid Immigration
Company ; for the following purposes :
}irst—To induce and encourave the immigration, 4nto Vir-
ginia, of laborers for hire. and to provide for the employment
of such laborers upon their arrival, and until they shall be
prepared to provide for themselves.
Second—To induce and encourage the immigration, from
abroad, of persons desiring to lease or purchase lands in Vir-
ginia, and to provide such lands for them.
Third—To purchase or lease lands in Virginia, to be relet
or resold to immigrants: provided said company shall not
hold, at any one time, more than one hundred thousand acres:
and provided further, that after the first day of January, one
thousand eight hundred and eighty-one, it shall not be lawful
for the said company to hold more, at any one time, than ten
thousand acres of land.
Fourth—To act as agents for the sale or leasing of lands,
in Virginia, to Immigrants. .
Fifth—To aid Immigrants, from abroad, to come to Vir-
ainia, by providing, for their accommodation, steam or other
vessels, to be owned or chartered by the company for the
purpose.
2. The capital stock of the company shall consist. of fifteen
thousand shares, of fifty dollars each, with the privilege of
increase to thirty thousand shares. Subscriptions to such
stock may be in money, land, or other property suited to the
purposes of the company, under such regulations as the
company may provide.
3. Asa Rogers, W. S. Barton and W. F. Price are hereby
appointed commissioners, to open books of subseription at
such places within the state of Vireinia, and at such times as
they may deem expedient; and they may authorize, by a
jomt power of attorney, suitable persons to solicit subserip-
tions, In money, out of the state.
4. Each subscriber to the stock, in money shares, shall be
required to pay to the commissioners five dollars on each
share. The payment of the balance of the shares shall be
fixed and regulated by the company, or its board of directors ;
and those subscribers who will pay their shares in land, shall
be required by the commissioners to give security for a sim-
ilar amount, by mortgage or otherwise, for their compliance
with their subscriptions. ,
5. When two thousand’ shares shall have been sub-
scribed, the commissioners, or any two of them, may, by a
public notice, published in at. least two newspapers of the
city of Richmond, and one in the city of New York, call a
meeting of the subscribers to the stock, to be held in the city
of Richmond, for the purpose of organizing the company by
electing its board of directors, of at least five persons, a ma-
jority of which shall be citizens of this state, who shall imme-
diately proceed to elect the president, two vice-presidents
and a treasurer out of their own number, and a secretary,
who may be elected from the number of the subscribers to
the stock at large. This meeting shall also establish by-laws,
rules and regulations, not inconsistent with the laws of*the
land. The company shall have the right and power to re-
vise, amend, alter or change its by-laws, rules and regulations
at any annual or periodical meeting attended by one-half of
the number of its stockholders, or a lesser number represent-
ing at least two-third parts of its stock actually existing at
the time of the meeting. It shall elect its board of directors
annually, or every two years, and it shall provide, by its by-
laws, the mode of filling vacancies, should any occur after
the election, before the next regular election.
6. All contracts, covenants and agreements to be operated
under a board either to encourage immigration to this state,
or to secure the rights and interests stipulated for on behalf
of the immigrants, shall be authenticated by the president
and secretary, with the seal of the company attached thereto,
to bind this company.
7. It being a design and desire of the general assembly to
protect immigrants to this state against imposition and ex-
tortions, and to secure them proper reception at the landings,
this company shall have the power to have its agency offices
and houses of accommodations and hospitals for the recep-
tion of the immigrants, at the ports of their debarkations, to
send them theretrom to their new homes: and it shall have
the power to establish storehouses wherever it may be con-
venient or necessary, for the purpose of supplying the immi-
grants with provisions, seeds, agricultural and household
implements and furniture.
8. The provisions of the general law on corporations,
which are not inconsistent with the provisions of this charter,
shall bind this company, and be their rule of action; and this
charter shall continue during the period of twenty-one years,
subject to modifications or repeal, at the pleasure of the
general assembly: provided, that no private right, acquired
and vested under this act, be affected thereby.
9. This act shall be in force from its passage.
