Chap. 75.—An ACT to incorporate the Norfolk and Cape Henry rail-
road and hotel company.
Approved February 3, 1888.
1. Be it enacted by the general assembly of Virginia, That
L. D. Wetmore, Levi Woodbury, John W. Boteler, R. Q.
Taylor, Robert Rennert, R. H. Baker, Junior, C. W. Hill,
John Vermillion, R. C. Marshall, H. F. Woodhouse, W. S.
Wilkinson and J. H. Dillard, and their associates, successors,
and assigns, be and they are hereby declared to be a body cor-
porate and politic, by the name of the Norfolk and Cape Henry
railroad and hotel company; and by that name and style are
hereby invested with all the rights, powers, and privileges
conferred, and made subject to all the rules, regulations, and
restrictions imposed by the Code of Virginia, and all general
laws applicable to such corporations as are not inconsistent
with the provisions of this act.
2. The capital stock of said company shall not be less than.
five thousand dollars, but the company shall have the privi-
lege of increasing the same from time to time to an amount
not exceeding five hundred thousand dollars, and shall have
ower to issue stock to the amount of the capital, and issue
ee to a amount not exceeding its capital, to be secured

by deed or deeds of trust upon all the property, franchises,
and improvements of the company, including the tract and
rolling stock, if at any time it shall see fit todoso. The
said stock to be divided into shares of fifty dollare each, and
at all meetings of stockholders each share be entitled to one
vote, which may be given by the holders thereof or by proxy.
When one hundred shares shali have been subscribed under
the direction of any three of the corporators hereinbefore
named, the subscribers shall assemble in Norfolk upon the |
call of the corporators, or a majority of the same, to organize |
the company: under this act; to elect a president and board
of directors, whose term of office shall be one year. Subse-
quent elections of president shall be made by the board of
directors, and of the board of directors by the stockholders.
3. The board of directors shall fix the salary of the presi- |
dent and all officers of the company, and the maximum
amount of stock to be subscribed for by any person. All
other officers not herein otherwise provided for, shall be
elected by the directors.
4. The said company is hereby authorized to construct and |
operate a narrow or standard gauge railroad as it may elect,
from the city of. Norfolk to a point at or near the Hollys, on
the Atlantic ocean, in the county of Princess Anne, state of
Virginia, and from thence if it shall so desire, to Cape Henry
in said county. It shall have power in its corporate capacity
to buy or acquire land in Princess Anne county, on or near
the Atlantic ocean, not to exceed five thousand acres, and to
improve the same by erecting upon it hotels and making such
other improvements as are usual at seaside resorts, and to
sell or lease lots to persons who may desire to build cottages
or other buildings upon them, and to erect cottages and other
buildings, or lease or rent to persons who may be willing to
lease or rent the same; and the said company is further
authorized to construct, own, and operate a telegraph line
from Norfolk city to Cape Henry, or to any point between
Norfolk city and Cape Henry, on the Atlantic coast.
5. The said company is hereby authorized to construct and |
operate lateral branches not to exceed twenty miles in lengta, '
and to cross any creek or stream between the city of Norfolk
and the Atlantic ocean, provided the navigation of the same
is not interfered with.
6. The said company by the acceptance of this charter, ‘
hereby agrees to pay all taxes, dues, and demands due the!
state, that may be hereafter assessed against it, in lawful
money of the United States, and not in coupons.
7. The road shall be commenced within two years, and be '
completed within six years from the passage of this act.
8. This act shall be in force from its passage. (
