phone company.

1. Be it enacted by the general assembly of Virginia, That
‘A. R. Rosenberger, 8S. P. Shirley, H. H. Spindle, C. F. Meyers.
and C. W. Rosenberger, and such others as may be associated
with them and their successors, be and they are hereby con
stituted a body politic and corporate, under the name of the
Rosenberger and Shirley telephone company, and as suck
may sue and be sued, may have, make, and use a commor
seal, and change or alter the same at pleasure, and may make
such by-laws and regulations for the government of said com.

2. The said corporation, by a majority of its stockholders
shall have authority to acquire, erect, and maintain telegraph
and telephone lines and offices in the counties of Shenandoah
Rockingham, Green, Orange, and Augusta, and elsewhere ir
the state, and may occupy the margin of any road or othe1
public highways so as not to obstruct the same.
3. The capital stock of said company shall not be less thar
three hundred dollars nor more than five thousand dollars, t¢
be divided into shares of ten dollars each.
4. The holders of stock shall be liable to the amount o;
their stock.
5. The officers of said company shall be a president, vice
president, secretary, and treasurer to be elected by the board
of directors. The board of directors shall consist of five per
sons, to be elected by the stockholders in general meeting

and until that time A. R. Rosenberger shall be president; C.
W. Rosenberger, vice-president; S. °. Shirley, secretary and
treasurer; and A. R. Rosenberger, S.-P. Shirley, H. H. Spin-
dle, C. F. Meyers, and C. W. Rosenberger the board of direc-
tors.
6. Said corporation shall have the right and power to
make reasonable charges for the use of their lines.
7. Said corporation shall pay its taxes in money and not
in poupone
8. The principal office of said company shall be at New
Market, Shenandoah county, Virginia.
9. Said company shall have the right to connect with other
telegraph or telephone companies in the state, on terms to be
agreed upon.
10. This act shall be in force from its passage.
