Chap. 29.—An ACT to incorporate the Loudoun Creamery Association.
Approved January 27, 1888.
1. Be it enacted by the general assembly of Virginia, That
Wm. J. Stone, L. W. Hickman, Wm. F. Comphor, John H.
Bowers, W. W. Gardner, Wm. D. Vincel, John George and
C. W. Fry, and their associates and successors, shall be and
are hereby incorporated and made a body politic and corpo-
rate, under the name and style of the Loudoun Creamery
Association. |
2. The object of this association is to purchase milk and
manufacture the same into butter and cheese; to sell the pro-
ducts and receive an equivalent therefor; to have perpetual
succession, with the right to sue and be sued, defend and be
defended in all the courts; to have and enjoy all the rights
and privileges granted by the general laws of the state; to
make by-laws, rules and regulations for the government of
the association, officers, agents and property: provided the
same do not conflict. with the constitution and laws of the
United States or of this state.
3. Its capital stock shall not be less than fifteen hundred
dollars nor more than five thousand dollars, divided into
shares of twenty-five dollars each, and the stock shall be
deemed personal property, transferable as such, by notice of
same on the books of the company. The personal liability
of any and every stockholder shall be limited to the amount
of stock held by any such stockholder.
4. In all general or special meetings of the company the:
stockholders present, or by proxy, shall be entitled to a vote |
on each share of their stock, a majority of the stock being
required to constitute a legal majority.
5. This corporation shall have the right to establish
agencies or branches, whenever the business of the associa-
tion may require it, with the right to purchase and hold real
estate, not exceeding in value four thousand dollars; but its
panes office shall be at Lovettsville, Loudoun county,
irginia. ;
6. The persons first named in this act shall constitute the |
board of directors; the first three are, respectively, president,
secretary and treasurer of said association; and at every an-
nual meeting of the stockholders thereafter, an election shall
be held to elect its officers and directors, the same to continue
in office until their successors may be elected. Said board
of directors shall have the power to fill any vacancy that
may occur in any office.
7. The grounds and improvements in possession of said
company, including a distance of fifty yards in every direc-
tion therefrom, shall, for all police purposes, be under the
protection of, and subject to the ordinances of the corporation
of the town of Lovettsville; and the mayor, recorder and
common council of said corporation shall have jurisdiction of
all offences committed upon and within said grounds, in the

same manner as if done and committed within the town of
Lovettsville.
8. This act shall be in force from its passage.
