Chap. 262.—An ACT to incorporate Scott Telephone and Telegraph
company in the county of Fauquier.
Approved February 24, 1888.
1. Be it enacted by the general assembly of Virginia, That |
J. S. Mason, G. A. Roszelle, C. H. Walker, Wil'iam Fletcher,
R. A. Beverly, L. Washington, G. H. Ayre, H. W. Hilleary,
and J. M. Ramey, and their associates and successors, be and
they are hereby constituted a body corporate and politic
under the name of the Scott Telephone and Telegraph com- |
pany, and by that name shall sue and be sued, have a com-
mon seal, and make such by-laws as may not be inconsistent
with the laws of the state.
2. The said company may acquire, construct, operate, and
maintain telephone and telegraph lines and offices in the’
county of Fauquier and elsewhere, receive and deliver mes-
sages for compensation, and conduct the general telephone or
telegraph business, or both a telephone and telegraph busi-
ness as the directurs may from time to time determine upon,
and may construct and erect its lines along the public high-
ways so as not to obstruct the same, and may acquire, use,
sell, or otherwise dispose of telephone or telegraph patents
and patent rights.
3. The capital stock of the said company shall not be less |
than fifteen hundred dollars, divided into shares of not less
than ten dollars each, and the amount of stock may be from
time to time increased by order of the board of directors to
not more than ten thousand dollars.
4. The board of directors of said company shall not be less
than five in number, shall elect a president and a secretary
and treasurer for said company, one or more of which said
officers may be filled by the same person.
5. The liability and responsibility of the stockholders of
said company shall be only to the extent of the stock sub-'
scribed for by them and to no greater extent.
6. The said company shall have power to connect with
lines of other telephone and telegraph companies in adjoining |
counties and towns to be agreed upon by said companies, and
may hold stock in any other corporation, and any other cor-
poration may hold stock in said dompaty
7. And said company shal! pay all taxes and dues to the:
commonwealth in lawful money of the United States and not
in coupons.
8. This act shall be in force from its passage.
