Chap. 103.—An ACT to incorporate the Memorial asylum for infants
in Fairfax county.
Approved February 8, 1888.
1. Be it enacted by the general assembly of Virginia, That
Samuel H. Gissy, Calderon Carlile, Elias S. Hutchinson,
the name of the Memorial asylum for infants, and as such to
enjoy all the privileges and be subject to all the liabilities
given and imposed by the laws of this state so far as the pro-
visions of this act are not in conflict therewith.
2. The object of this corporation shall be to establish,
equip and conduct, at or near Falls Church, in Fairfax county,
a home for indigent infants, to be used in connection with the
mission work of the church of the Epiphany, in Epiphany
Parrish, Washington, D. C., and to that end to take and hold
all personal property and real estate not exceeding ten acres
of land that may be given, granted, bequeathed and devised
to it, to invest all money and other personalty thus acquired,
to change investments and to sell or exchange real estate and
to deal with the said property in such manner as may seem
judicious, the whole amount of property held not to exceed
one hundred thousand dollars.
3. When any of the aforesaid incorporators shall die or
resign, the vacancy shall be filled by a vote of the majority
of the remaining incorporators present at any meeting, and
whenever it is desired to increase the number of corporators,
the same may be done by a vote of the majority of those
present at any meeting: provided, that in making such in-
crease and filling vacancies, preference in selection shall be
given first to the persons comprising the clergy and vestry of
the said parish, and second to the male communicants thereof:
and provided further, that there shall always be at least two
corporators residents of this state: and provided further, that:
the number of corporators at any time shall not be less than
five nor more than ten.
4. The said incorporators, their associates and successors,
shall have power to manage said institution, appoint the offi-
cers thereof, create a board of trustees for the immediate con-
trol thereof, make necessary by-laws, and maintain a princi-
pal office at or near the said house of Falls church.
5. All property acquired and held by the corporation shall,
while used and applied for the exclusive use and benefit of
said institution, be exempt from taxation.
6. The said incorporators shall not be required to do more
than organize until some property is actually acquired.
7. This act shall be in force from its passage.
