Chap. 240.—An ACT to incorporate the Boys’ Home of the city of
Norfolk.
Approved May 16, 1887.
Whereas a society has been organized in the city of Nor-
folk, under tho title of the Boys’ Home, the object of which
society shall be to shelter and protect those of them who are
destitute and homeless; to furnish them with food and lodg-
ings; to impart moral and religious instruction; to teach
them after working hours to read and write, as far as may
be practicable, and otherwise to raise them from a life of va.
grancy and penury, to habits of industry, sobriety, and econ.
omy; therefore,
1. Be it enacted by the general assembly of Virginia, That

Mra. Lucy Cc. Dey, Miss Virginia Fiveash, Mrs. Claudia A.
Freeman, Mrs. Mary E. Powell, Mrs. Ella J. Bloxom, Mra.
Melissa M. Capps, Mrs. Marv A. White. Mrs. Ehza A. Hallett,

liam A. Thom, Vernon I. Anson, Charles M. Ferguson, Wil-
liam H. Ginrich, James W. Hunter and Joseph T. Allyn, and
their associates, be incorporated and made a body politic in
law, by the name and title of the Boys’ Home of the city of
Norfolk, Virginia; and by that. name, style, and title shall
have a perpetual succession, with power to have a common
seal, and break or alter it at pleasure; to make contracts
relative to the objects of the organization; to sue and be sued;
to plead and be impleaded, and by that name, style, and title
to be capable of purchasing, holding. taking, disposing of and
conveying any estate. real or personal, for use of the said
corporation. To fix the quorum of the board of managers,
and the number of members who shall constitute the said
board: provided that the number of the members of the said
board shall not exceed cleven. ‘To establish such rules and
regulations and appoint such officers and committees; said
committees to Consist of the lady members of said corpora-
tion, as said corporation shall Judge necessary for the due
management of the same: provided that the said rules and
reeulations be not repugnant to this charter, the constitution
of the United States or of this commonwealth.
2. Every person who shall pay annually to the treasurer
of the Boys’ Home, on or before the first Thursday in No-
vember, the sum of one dollar or upwards, shall bea member
of the said corporation, while each person who shall con-
tribute three dollars annually, shall be entitled to a vote at
the annual election of the board of managers, and every
person who shall pay twenty-five dollars at one time shall be
amember for life, and entitled to all the privileges of mem-
bership.
3. The affairs and concerns of the said Boys’ Home shall
be conducted by a board of managers consisting of eleven
men. No employee of the institution shall be eligible to
become a member of the board of managers. The members
of the said corporation shall meet on the first Thursday in
November of cach year, at such time and place as shall be
fixed by the board of managers, notice of which meeting
shall be given in at least two “daily papers published in Nor.
folk, twice a week tor two weeks previous to such meeting;
at which meeting shall be elected a board of managers to
serve for the ensuing year: provided that the managers
already elected shall continue to act until others shall be
elected: and provided further, that in case an election shall
not be held at the time provided, the board of managers shall
give at least ten days’ notice that another election shall be
held; that said election shall be held within one month after
the said first Thursday in November. The board of mana-
gers shall clect such officers as may be provided for in the
by-laws, and fill any vacancies that may happen in their
number by clection, until the next annual meeting in Novem-
ber. Special meetings of suid board shall be called by the
president, or, in the event of his absence, by the secretary,
at the written request of five members.
4. Itshall and may be lawful for the said managers, in
their discretion, to take under the care and protection of said
corporation, white boys who shall be voluntarily surrendered
by their parents, guardians, or themselves. They shall have
the guardianship of such boys, and shall cause them to be
educated and instructed in a proper manner, and may, when
in their discretion it sball appear proper, bind or hire said
boys or youths, with their consent, as apprentices or other-
wise, to such persons, and at such places, and to learn such
trades and employments as in the judgment of such mana-
gers will be most conducive to the benefit and advantage of
said boys, with power to said institution, in the discretion of
the said board of manayvers, to charge to the said inmates
such moderate sums towards their tuition and support as
their circumstances and ability may render expedient; and
the said managers may, at any time in their discretion relin-
quish and cease the care of any such boys or youths.
5. The said institution shall be the guardian or truste,
without bond or security, for any property, estate, Income, or
pension belonging to any boy under their car c, unless such
bond or security be demanded by the person surrendering
such boy, and shall have authority to expend or dispose of
the same for the benefit or advantage of such boys in such
manner as may be deemed best for their welfare: provided
however, that said estate, property, income, or pensions shall
be appropriated specifically for the benefit of said boy, and
not for the general purposes of said institution or any other
person whatever.
6. All real estate, investments, personal securitics, and all
funds of the corporation shall be under the control of the
board of managers. If desired by the said board of mana.
gerr, all investments made for the corporation must be in
accordance with the law regulating trusts.
7. This act shal! be in force from its passaye.
