Chap. 165.—An ACT to incorporate the Dinwiddie and Brunswick
lumber and transportation company.
Approved May 6, 1887.
1. Beit enacted by the general assembly of Virginia, That
A. T. Powell, A. Williams Harris, C. E. Abernathy, H. Madi-
son, John C. Duane, J. B. Mallory, and 8S. F. Duane, with such
persons as they may hereafter associate with them, shall be
and they are hereby constituted and declared a body politic
and corporate by the name, style, and title of Dinwiddie and
Brunswick lumber and wood transportation company, with
a right to build and operate a railway from any point on the
Roanoke river, on the North Carolina line, through the
counties of Brunswick and Dinwiddie, to deep water on the
James river, or to connect with any road already built, and
operate along the proposed route, with a capital stock of not
less than five thousand nor more than one hundred thousand
dollars, in shares of one hundred dollars each.
Z. The said company is authorized and empowered, from
time to time, to issue its bonds to such an amount as it may
consider necessary, for the purpose of constructing, main-
taining, and operating its said railroad, and may secure the
same by one or more mortgages or deeds of trust on its rail-
road franchises and income, and the real and personal estate
of the said company, or such part or parts thoreof as may
be designated in such deeds or mortgages.
3. The corporation mentioned in section one of this act,
shall have the powers and authority of a president and board
of directors, for the purpose of organization of said company.
The acts of a majority of the said corporators shall be valid,
and on all questions for their determination, a majority thereof
shall possess the like powers as if all were present.
4. The affairs of the said company shall be managed and
conducted by a board, consisting of a president and five di-
rectors, as shall be prescribed by the by-laws. The president
and directors shall be chosen by the stockholders, and the
president shall be entitled to a vote at all meetings of the
oard. The duties of the president, vice-president, secretary,
and treasurer shall be defined by the by-laws, and the duties
and responsibilities of all other officers shall be defined by the
board.
5. The said company shall have power to buy lands, cut
and transport lumber, and so forth, over the same, or utilize the
same as they shall see fit: provided that said company shall
not own more than five thousand acres in any county at one
time, and shall pay its taxes in money, and not in coupons.
6. This act shall be in force from its passage.
