Chap. 340.—An ACT to incorporate the Mendota and Moccasin
Turnpike Company. , °
Approved March 1, 1886. -
Be it enacted by the general assembly of Virginia, That.
H. C. Holly, W. S. Stickley, R.C. Hamilton, J. T. Martin,
W.S. Hamilton and C. P. Crumley, of Washington county;
Henry K. Wood, James F. Sutton and Robert Frigate, of
Russell county, and such other persons as may hereafter be
associated with them, be and are hereby made a body politic
and corporate, under the name, style and title of the Mendota
and Moccasin turnpike company, with plenary powers to con-
struct a turnpike road from. Mendota, in Washington county,
Virginia, along the most practical route through the Joe Tate,
or the most practical and available gap in Clinch mountain, at
or near the said town of Mendota, to intersect with the Moc-
casin road at or near William E. Sutton’s, in Russell county,
Virginia, and to erect bridges at the crossings of Moccasin
creek, if found necessary. The said company is also hereby
vested with full power and authority to acquire, by gift, pur-
chase, or by condemnation according to law, so much land,
timber and rock, as may be found necessary for the construc-
tion of said road: provided, that said road shall not be less
than sixteen, nor more than thirty feet wide; and provided fur-
ther, that said work shall be commenced in eight months, and
completed i in two years.
2. Books of subscription to the capital stock of said com-
pany may be opened at any time and place designated by said
corporators, or any three of them, under the supervision of
themselves, or any person or persons appointed by them, who
are hereby authorized to act as commissioners. The capital
stock of said company shall not be less than five hundred dol-
lars nor more than twenty thousand dollars, to be divided into
shares of ten-dollars each.
3. The said company is hereby clothed with all powers and
franchises conferred on turnpike companies by the general laws
of this state: provided that said company may be at liberty to
dispense with summer or side-roads to said turnpike, and that
the company shall not be compelled to pave or cover the said
road with stone or gravel.
4. The corporators and stockholders of said company shall
meet at Mendota, in Washington county, on the first Saturday
in May next, or as soon thereafter as practicable, at which time
and place they shall elect a president and board of directors,
and such other officers as they may deem necessary, and pass
any by-laws, not in conflict with the constitution and laws of
this state, or of the United States, which they may deem neces-
sary for their government, a majority of whorp, or of those
representing a majority of shares in the said company, shall
constitute a quorum. All elections after the first held by said
company shall be at such time and place as the stockholders
of the said company may direct. All officers elected by said
company shall hold their offices for such length of time as
may be agreed upon by the stockholders in a lawful meeting
of them assembled, and afterwards until their successors are
elected and qualified to enter upon the duties of their respec-
tive offices. The term of all officers elected by the stockhold-
ers shall commence at such time as may be prescribed by said
company.
5. Said company shall have the right to cross the beds of
such public roads as may be necessary.
6. A majority of the directors of said company shall consti-
tute a quorum for the transaction of business.
7. This act shall be in force from its passage.
