Chap. 80.—An ACT to incorporate the Bishop Payne Divinity and
Industrial School in Virginia. :
Approved November 22, 1884.
1. Be it enacted by the general assembly of Virginia, That
Francis M. Whittle, Alfred M. Randolph, Claudius R. Hains,
Giles B. Cooke, F. Eugene Davis, James Wilmer, James Saul,
James H. Skinner, T. M. Carson, Pike Powers, B. A. Mars-
den, and W. W. Old, as trustees, and for the purpose of edu-
cating colored persons for the ministry of the Protestant
Episcopal Church, or for any secular business, be and they
are hereby constituted a body politic and corporate, by the
name and style of The Bishop Payne Divinity and Industrial
School, and by that name shall have perpetual succession and
a@ common seal; may sue and be sued, plead and be impleaded,
with power to hold, receive and purchase, to them and their
successors forever, lands, tenements, money, and other chat-
tels, and dispose of and manage the same as shall seem best
for the said school: provided, that the land so held and ac-
quired shall not exceed one hundred and fifty acres, nor the
money and other chattels the sum of five hundred thousand
dollars: and provided further, that the majority of said trus-
tees, or their successors, may at any time hereafter increase
the number of trustees to twenty, and that not less than
@ majority of the trustees, for the time being, shall be suffi-
cient to authorize the sale or mortgage of any real estate
belonging to said school.
2. The said trustees and their successors shall have power
to appoint a president, treasurer, secretary, professors, tutors,
and such other officers as they may deem proper, and to make
and establish, from time to time, such by-laws, rules and regu-
lations, not contrary to the laws of the state or of the United
States, as they may judge to be proper for the good govern-
ment of said school. A majority of the trustees shall consti-
tute a board for the transaction of business, and any vacancy
or vacancies amongst the trustees, occasioned either by death,
resignation, or other cause declared by the by-laws to be suf-
ficient to create a vacancy, shall be supplied by appointment
of the board. | :
3. The treasurer shall receive all moneys accruing to the
school, or property delivered to his care, and shall pay or de-
liver the same to the order of the board. Before entering
upon the discharge of his duties, he shall give bond with se-
curity, and in such penalty as the board may direct, made
payable to the trustees for the time being and their succes-
sors, conditioned for the faithful performance of his duty,
under such rules and regulations as may be adopted by the
board; and it shall be lawful for the trustees to obtain a judg-
ment for the amount thereof, or for any special delinquency
incurred by said treasurer, on motion, in any court of record
in this commonwealth, against the said treasurer, and his se-
curity or securities, his or their executors and administrators,
upon giving ten days’ notice of such motion.
4, The said board of trustees shall have power, either by
themselves or their agents, to take and receive subscriptions
for said school; and in case any person shall fail to pay his or
her subscriptions, to enforce the payment thereof by warrant
before a magistrate, or by motion in any court of record in
this commonwealth, according to the amount of such sub-
scription, giving ten days’ notice of such motion.
5. This act shall be in force from its passage.
