Chap. 7.—An ACT to incorporate the Banner Company.

1. Be it enacted by the general assembly ot Virginia, That

Henderson, R. A. Ayres, Patrick Hagan, J. B. Richmond, A.
L. Pridemore, W. F. Edmonds, John MV. Harris, H. S. Kane,
and such other persons as they may associate with them-
selves, be and they are hereby created a body, politic and
corporate, under the name and style of The Banner Company,
and as such shall have perpetual succession and a common
seal, may sue and be sued, plead and be impleaded. and are
authorized to do any and every act, necessary for publishing
a newspaper and conducting a general publishing and print-
ing business, and shall have and possess all the powers and
privileges conferred upon corporations by any general statute.
2. The capital stock of said company shall not be less than
one thousand, nor more thanten thousand dollars, divided into
shares of twenty dollars each, and it may issue and dispose
of the same on such terms as it may deem expedient. Every
stockholder in said company shall be entitled to cast one vote
for each share of stock held by him, and no stockholder shall
ever be held liable or made responsible for its debts and lia-
bilities, in a larger or further sum than the amount of any
unpaid balance due to the said company for stock.
3. The five persons first herein named, shall constitute the
first board of directors of said company, and shall continue in
office until the first meeting of the stockholders thereof. At
such first meeting and at every annual meeting, so many
directors, shall be elected as may be prescribed by the by-laws
and regulations of said company. Whenever the minimum
amount of capital stock shall have been subscribed, and the
board of directors shall have elected a president, (who shall
be a stockholder) said company shall be considered legally
organized, and may proceed to business.
4. This act shall be in force from its passage.
