Chap. 395.—An ACT to incorporate the Virginia Nail and Iron Works
Company.

1. Beit enacted by the general assembly of Virginia, That
A. H. Leftwich, Charles M. Blackford, W. H. Ford, C. V.
Winfree, M. T. ‘Smith, J. A. Ford, W. F. Matthews, W. D.
Smythe, S. L. Moorman, John W. Daniel, J. H. Adams,
George M. Jones, James W. Watts, Thomas D. Davis, John
W. Carroll, and such other persons as may hereafter be asso-
ciated with them, shall be and are hereby incorporated and
made a body politic and corporate by the name and style of
the Virginia Na il and Iron Works Company, for the purpose
of manufacturing and selling iron rails, nails, and all other
articles made of iron, and of manufacturing any and all other
articles whatsoever, ‘whether of iron or other material, and
of selling the same, and of doing, in addition, a general mer-
cantile business in the state of Vi irginia, and are hereby in-
vested with all the rights and privileges, ‘and shall be subjcet
to all the rules, regulations and conditions consistent with
this act, prescribed by the general laws of the state of Vir-
ginia.
2. The capital stock of said company shall not be Jess than
thirty thousand dollars, nor more than five hundred thou-
sand dollars, to be divided into shares of one hundred dollars
each ; and any corporator may put into the capital stock of
said company any land or personal property now owned by
him, which may be necessary for the purposes thereof, at such
price as may be accepted by said company.
3. The said company shall have the right to build furnaces
or other manufacturing establishments In any part of the
state of Virginia it may desire, und to acquire, hold, use, pos-
sess and enjoy by purchase, gift or grant, any estate e, real,
personal, or mixed, and may sell, lien, grant, lease and con-
vey the same, and contract in reg: ard thereto: provided it
shall at no time own over ten thousand acres of land.
4. Said company shall have the right to adopt and use a
common seal, and to chanve the same, from time to time, as
it may deem advisable.
5. Should said company purchase land and open a mine
thereon. or build furnaces or other manufacturing establish-
ments, it shall have power, for the purpose of transporting
the product of its said mines and manufactories, to build,
maintain and operate rail or tramways from such mines, fur-
naces, or other manufacturing establishments to the nearest
line of railroad by the ne arest practicable route, and to
acquire the right of way by gift, purchase, lease, or con-
demnation, as provided by law.
_ 6. The said company may at any time hereafter, without
further application to the legislature, change its corporate
name by a vote of its stockholders, but should said change of
name be made, it shall still be the same company, and
shall be subject to all the responsibilities and obligations, and
hold all the rights, privileges, property and franchises exist-
ing under the name herein given.
7. Thesaid company shall be authorized to borrow money,
and to execute its coupon bonds or other evidences of debt
therefor, and to secure the same by executing a mortgage or
deed of trust on all its property, rights and franchises exist-
ing at the time of the execution thereof or which may be
thereafter acquired, or any part thereof, and said company
may sell said bonds at less than par.
8. At all meetings of the stockbolders of this company each
share of stock shall be entitled to one vote.
9. This act shall be in force from its passage.
