Chap. 288.—An ACT to consolidate the Norfolk and Princess Anne
Turnpike Company, and the Broad Creek and London Bridge Turn-
pike Company.
Approved March 4, 1884.
Whereas by an act of the general assembly of Virginia,
approved March six, eighteen hundred and seventy-two, the
orfolk and Princess Anne turnpike company was incor-
porated, and by an act approved Ralmiary second, cighteen
undred and saventv-fonr sections one and eix of said act of
incorporation were amended, and the capital stock of said
company was thereby limited to an amount not exceeding
the sum of thirty-five thousand dollars, and the said company
has been duly organized and put in operation under its said
charter; and whereas by an act of the general assembly of
Virginia, approved March six, eighteen hundred and eighty,
the Broad Creek and London Bridge turnpike company was
incorporated, with a capital stock not to exceed the sum of
twenty-five thousand dollars, and the said company has been
duly organized and put in operation under its said charter;
and whereas it has been represented that all the capital stock
of the said, the Broad Creek and London Bridge turnpike
company, has become the property of the stockholders indi-
vidually of the Norfolk and Princess Anne turnpike com-
pany, who now desire to consolidate and unite the said two
turnpike companies into one corporation under the name of
the Norfolk and Princess Anne turnpike company; therefore,
1. Be it enacted by the general assembly of Virginia, That
the Norfolk and Princess Anne turnpike company, and the
Broad Creek and London Bridge turnpike company, be, and
the same are hereby consolidated and made one body corpo-
rate and politic, under the name of The Norfolk and Princess
Anne Turnpike Company, subject to all the liabilities of each
of said companies, and with all the rights, powers, franchises,
and privileges heretofore conferred upon each of the two said
companies By their said charters of incorporation respectively
above mentioned, subject to the provisions of the Code of
Virginia in respect to chartered companies, except so far as
modified by this act.
Z. That as soon as may be, after the passage of this act,
the stockholders of the said two turnpike companies, or a
majority of them, in joint meeting assembled, may accept
the terms and provisions of this act, and proceed at once by
ballot to elect a president and five directors, who shall con-
stitute a board of directors for the said consolidated com-
pany, and elect a secretary and treasurer therefor. And the
said board of directors so elected, shall thereupon call in and
cancel all the certificates of stock issued by the two said
turnpike companies, and merge the said capital stocks,
property, and franchises of both the said turnpike companies
into one capital stock, property, and franchise of the new
consolidated company, under the name of the Norfolk and
Princess Anne turnpike company, and certificates of the
said new capital stock shall be issued to the stockholders
respectively, according to the shares held by them in each of
the two said turnpike companies. And the capital stock of
the said new consolidated turnpike company shall not exceed
the sum of sixty thousand dollars, and shall be divided into
sbares of one hundred dollars each. And at all meetings,
each share of stock shall be entitled to one vote.
3. The said the Norfolk and Princess Anne turnpike com-
pany, consolidated under this act, shall have the right to
maintain and operate the same road heretofore constructed
and used from Norfolk to Kempsville, and the same road
from Nortolk to London Bridge, with the bridge across Broad
creek, and all the property and franchises of the two said
turnpike companies, with the privilege of a branch road to
Princess Anne courthouse, and the right to build lateral or
branch roads in any direction to or from any point along its
line; and when the said company shall have constructed any
lateral or branch road, the company may increase the capital
stock five thousand dollars for each mile so constructed, and
in that proportion for any fraction of a mile. And for the
purpose of constructing and maintaining its main lines of
turnpike or any lateral or branch road, the said company
may issuc bonds to an amount not exceeding at any one time
the sum of twenty thousand dollars, in sums not less than
one hundred dollars each, bearing interest, payable semi-
annually, after such rate as the board of directors may pre-
scribe, at such times and places as they may determine, and
may secure the payment of the said bonds by one or more
deeds of trust upon all the property, income, franchises and
privileges of the company, or such parts thereof as may be
designated by the directors.
4. The said company is hereby authorized to acquire and
hold, sell and convey real estate, not to exceed at any one
time two thousand acres of land in any one county; and may
erect toll-houses and toll-gates at such points along its said
roads as it may deem expedient. The said company may
maintain and use its bridge across Broad creek, with a draw
at the chann | of said creek not less than sixteen feet in the
clear, and for crossing the said bridge, may charge and receive
a toll of five cents for each single team vehicle, ten cents for
each double team vehicle, and one cent for cach pedestrian.
And the said company in all other respects shall charge and
receive from all persons using its turnpike road, toll at the
rates prescribed by law in section thirteen of chapter sixty-
one of the Code of Virginia, edition of eighteen hundred and
seventy-three.
5. This act shall be in force from its passage.
