Chap. 129.—An ACT to establish Trinity Hall Female College, in the
County of Wythe.
Approved February 19, 1884.
1. Be it enacted by the general assembly of Virginia, That
Trinity Hall, a seminary ‘of learning tor the instruction of
youths in the various branches of science and liter ature, the
useful arts, and the learned and foreign languages, be and is
hereby erected into a college, which “shall be known by the
name of Trinity Hall Female College.
2. That G.S. Bruce. G. R. Huttard, J. W. Morehead, Wil-
liam Masser, William G. Repass, William H. Sutherland, A.
H. Gibboney and Alexander Phillippi be and are hereby con-
stituted and appointed trustees of said college, who, and their
successors, shall be a body politic and corporate by the name
of the Trustees of Trinity Hall Female College, and have per-
petual succession and a common seal; and by the name afore-
said they and their successors shall be capable in law, and
shall have full power and authority to acquire, hold, possess,
purchase, receive and retain to them and their successors for-
ever, any lands, tenements, rents, goods, chattels or interest
of any kind whatsoever which may be given to them, or be
by them purchased for the use of said college; to transfer,
convey and dispose of the same in any manner whatsoever
they shall adjudge most useful to the interests and legal pur-
poses of the institution ; and by the same name to sue and be
impleaded, answer and be answered in all courts of law and
equity ; to select and employ a treasurer and such other offi-
cers and agents as they may deem proper; to appoint such
president for the benefit of the college as they may select ; to
establish and execute, or cause to be executed, all such laws,
rules and ordinances, not inconsistent with the constitution
and laws of the United States or of this commonwealth, as
they may think necessary for the welfare and good gov-
ernment of said college and all professors and others con-
nected therewith.
3. That the trustees above named, and their successors,
shall meet at least once « year, and may hold such other
mectinys as may be provided for by their by-laws; that the
first meeting of said trustees shall be beld at the town of
Wytheville, ‘Wythe county, on the first Friday in June next,
or at any time afterw ards, on a day agreed upon by any
three or more of said trustees, and by them announced in
some newspaper published in the county aforesaid; that four
trustees Shall at any time constitute a quorum for the transac.
tion of business, except that a majority of said trustees shall
be required to elect officers of the board and president of the
college, and to dispose of any real estate belonging to tho
Institution.
4. That the president of the college, with the consent of
the trustees, shall have the power to “establish and reculate
the mode and course of instruction and education to be pur-
sucd in said college, and shall have power to adopt and
enforce such rules as may be deemed expedient for the good
government of the institution; which rules shall not be in
conthet with the constitution of the United States or of this
commonwealth, nor with the by-laws and ordinances of the
corporation, and shall remain in full force until disapproved
of by the trustees.
5). That the trustees, or any quorum of them, shall have
full power and authority to meet at such times as they may
think necessary for the examination of any candidate or candi-
dates tor literary degrees, whom the president may recom-
mend; and that they are hereby authorized and empowered
to confer such degrees on such persons as in their opinion
shall merit the same, in as ample a manner as any female
college of the commonwealth can do, and under their com-
mon seal to grant testimonials thereof, siyned by the presi-
dent of the college.
6. That the trustees shall annually elect a treasurer of said
College, who shall give bond with approved security, payable
to the trustees and their successors, by corporate name afore-
said, conditioned faithtully to discharge the duties of said
ottice; and shall render an account of all moneys, goods, and
chattels received and expended by him on account of and for
the use of said college, at least once a year, and oftener if re-
quiredby said board of trustees; and, on failure or refusal to
do so, he and his securities shall be subject to like proceed-
ings as are prescribed by law, in case of the sheriff's failing
v0 account for and to pay into the treasury of this common-
valth, the public taxes collected by them, such proceedings

and corporate character atoresaid.
7. That said trustees, or a majority of them, shall have
power to remove or suspend the president, two-thirds of their
whole number concurring therein, and to remove in like man-
ner, any of the trustees tor good cause; and if there shall be
a vacancy in said board of trustees, occasioned by death, re-
moval, or resignation, or refusal to act, the remaining trus-
tees or a quorum of them shall supply the vacaney.
8. That it shall be the duty of said board of trustees, when
required, to make a report of the general condition of the in-
stitution to the president of the board of education; that said
board of trustees shall never be less than five nor more than
nine.
9. That the legislature reserves to itself the power to alter
or abolish this charter at any time.
10. This act shall be in force from its passage.
