Chap. 310.—An ACT to amend and re-enact section eleven of an act
approved March 21, 1871, entitled an act to incorporate the Life In-
surance company of Virginia, approved January 10, L875.

1. Beit enacted by the general assembly of Virginia, That
the eleventh section of an act to incorporate the Life Insu-
rance company of Virginia, amended January nineteenth,
eighteen hundred and seventy-tive, be amended so as to mond
as follows:
§11. The directors of the company shall be elected ans
nually by the stockholders, on the last Wednesday in Janus
ary; and they shall elect from their number, at the first
meeting of the bourd after their election, a president and
two vice-presidents, and shall have power to appoint such
officers, clerks, and ayvents as the business of the company
may require; to appoint the finance and executive Commit-
tees, and to fill vacancics occasioned by death or resignation
in the board. All elections for directors shall be by ballot,
and every stockholder shall be entitled to one vote for each
share of stock held by Lim; but no person sball be eligible
as director who is not a stockholder to the amount of twenty
shares. The place for holding the annual meeting of the
company shall be fixed by the directors, ten days’ previous
notice being given in some paper published in the city or
town where the principal office of the company is located;
which city or town may be determined or changed at any
time by a majority vote of the stockholders; but, unless
otherwise located by the stockholders, shall be the. city of
Petersburg. This act shall be in force only when accepted
by the company. An acceptance shall be determined bya a
majority vote of the whole stock of the company.
