Chap. 359.—An ACT to incorporate The Southern Settlement Society.
Approved April 80, 1874.
Whereas, the immigration and settlement of a productive
population will promote the development of the resources of
this state, therefore, to encourage such an immigration and
settlement by co-operative and systematic action,
1. Be it enacted by the general assembly of the state of
Virginia, That William Schmele, Claudius W. Murdaugh,
Benjamin E. Greer, Albert K. Owen, George W. Woodward,
Henry Schmele, Thomas 8. Sedgwick, Charles Herman,
Henry Schumacher, William Schmoele, junior, Charles Nanz,
oof The Southern Settlement Society, and the location of th
obein principal office of said company shall be in Portsmouth city
with power and authority in that name to have continua
ate Pow- sncecssion, and to have, bold, possess and acquire by any law
ndper- ful means any property and estate, real and personal, no!
roperty exceeding ten thousand acres of land in any one county of
jtofland this state, and the same may use, lease, Iet, mortgage, sell
transfer and convey, and may sue and be sued, contract and
be contracted with, and may have and use a common seal,
together with all tho other rights, powers and privileges pro-
per for them to have, possess, exercise, and enjoy as a com-
pany incorporated for the purposes above set forth.
l 2. That the capital stock of said company shall consist of
company Shares of not more than two hundred dollars each, and when
eorgan- two hundred thousand dollars shall have been subscribed,
and the payment thereof satisfactorily secured, the subscri-
bers in person, or by proxy, may organize the said company
ors; their by the election of five or more directors, and the directors for
» duties, the time being, for and in behalf of the company, may have,
exercise and enjoy all the rights, powers, franchises and priv-
ileges which are herein granted to the said company, and
may make by-laws, rules and regulations for the management
of the business and affairs of said company, and may, from
toborrow time to time, increase the resources of the company by bor-

ty of pledge, or by new subscriptions; and the shareholders of said
olders_ company shall be bound, each for himself or herself to pay
the same due by them respectively on the shares held by
them, and the sums thus due or to become due, having been
paid, such shareholders shall not be liable for any other or
further payment on account thereof.
3 and 3. That the by-laws may prescribe the number and man-
ten ere- ner in which the directors, officers and agents of said com-

ope gervice, powers, duties and compensation; and until a further
organization is made, as hereinbefore provided for, the per-
sons named in the first section hereof, or a majority of them,

4. That the said company may keep a separate account,
and issue separate stock, for any settlement or colony, or se-
ries of colonies or settlements, to be founded by it, under
suitable separate names; and may redeem the shares of stock
issued therefor, respectively, by the nett proceeds of the sales
of land, or other property, or otherwise, in such manner, and
‘in such instalments or dividends, as may be stipulated in each
case, in the sale of the respective stock, and in accordance
with law, and the provisions of this act. :
5. That all bona fide settlers on the lands of said company,
or on lands sold to them by said company, shall, from the
date of their settlement thereon, enjoy the same protection,
rights, immunities and privileges, as other citizens of this
commonwealth, so far as their local, municipal, county or
state interests are concerned; and all such adult male set-
tlers shall have the right to vote in all municipal, county and
state elections in this state, from the date of their bona fide
settlement on the lands of said company, or on lands sold to
them by said company, on the same conditions of residence,
and other legal] qualifications, as are required of adult native
citizens of this state: provided, always, that they shall have
first complied with the naturalization laws of the United
States, to the extent of having made their declaration, under
oath, of an intention to become citizens of the United States
and of this state, and to forswear any other or former alle-
ance.
6. That all cash outlays proved to have been expended by
the said company on public roads, streets, or other public or
municipal or county Improvements, or easements, within or
communicating with their colonies or settlements, shall be
an offset to, and be deducted from, the taxes levied for simi-
lar purposes by the local authorities within whose jurisdic-
tion such outlays shall have been made.
7. And be it farther enacted, That this act shall be in force
from and after its passage.
