Chap. 353.—An ACT to incorporate the Hampton and Fort Monroe
Railroad Company.
Approved April 80, 1874.
1. Be it enacted by the general assembly, That Martin
McDevitt, Harrison Phoebus, Chas. K. Mallory, Thos. Tabb,
L. H. Sclater, Wm. T. Hicks, Nathaniel Gammel, Wm. T.
‘Gatewood, Jerome Titlon, David M. Waller, C. C. Jett, W. F.
Larrabee, Jno. W. Boyneton, Louis B. DeWitt, William S.
Howard, George Mellen, George M. Peek, Jas. A. Watkins,
Mallory A. Shield, Jas. G. Fulton, William W. Darden, George
H. Elliott, J. S. Darling, S. E. Bickford, G. W. Watts, H.
Libby, and their associates, be and the same are hereby con-
stituted a body politic and corporate, by the name and style
of the Hampton and Fort Monroe Railroad Company; and
shall have authority to construct, build and equip, a railroad
from some point or points in the county of Elizabeth City,
state of Virginia, to the United States government reserva-
tion at Fort Monroe: provided, that the said railroad shall
not pass along a public road in the county of Elizabeth City,
ur a street in the town of Hampton, and not more than three
miles west of the United States government reservation, as
the company’s officers may elect, and continue along line of
said road or street over Hampton creek bridge, to the govern-
ment reservation at Fort Monroe, as the officers of the com-
pany may determine: provided, that the consent of the
county court shall be first obtained to use said bridge or its
abutments, or to add to said bridge.
2. The road shall be of any gauge which the said com-
| pany’s officers may determine, and may be worked either by
orses or steam power, as the said company’s officers may-de-
termine.
3. The capital stock of the said company shall not be less
than fifteen nor more than thirty thousand dollars; to be di-
vided into shares of one hundred dollars each, and stockhol-
ders shall have one vote for each share of stock in all meet-
ings of stockholders.
4, Subscriptions to the stock of said company shall be
made in current money of the United States, or such funds
as are readily convertible into the same, and when two-thirds
of the stockholders shall conclude that a sufficient amount of
stock has been subscribed to enable the company to build and
equip the said road, the said company shall have authority to
construct the said road as herein provided.
5. The said company may acquire lands only for the pur-
oses of a right of way, and for the erection of necessary
uildings for stations and depots.
6. The said company may elect such number of directors
and provide for the appointment or election of such officers
or agents as they may decide to be necessary for the man-
agement of its affairs: provided, that the officers of said
company for the year eighteen hundred and seventy-four,
whose term of office shall expire on the first day of January,
eighteen hundred and seventy-five, shall be as follows, viz:
M. McDevitt, president; H. Phcebus, treasurer; and M. Mc-
Devitt, H. Phoebus, C. K. Mallory, William S. Howard,
George C. Mellen, L. H. Sclater, Joseph G. Fulton, James A.
. Watkins, and G. M. Peek, directors; and increase the num-
ber of directors to twelve, if the stockholders desire.
4%, The said road shall be commenced within twelve monthe .
from the passage of this act, and be completed, equipped,
and put in use within two years thereafter; and if not so
commenced and completed, the said company shall be de-
prived of the privilege conferred by this act.
8. The said company may condemn and purchase, accord-
ing to the laws of Virginia, land for its railway, depots, and
| Stations: provided, that it shall not be allowed to condemn
more than one acre of land in Hampton.
9. In all the meetings of stockholders, only those shall be
allowed to vote who have complied with the terms of sub-
scription, as set forth in the articles of association of said
company.
10. This act shall be in force from its passage.
