Chap. 252.—An ACT Repealing the Charter granted to the Manchester
Cotton Mills, by the Judge of the 2nd Circuit, and re-incorporating
said Company.

. Whereas, 8. S. Weisiger, judge of the circuit court for the :
second circuit of Virginia, including the county of Chester-
field, on the fifth day of August, eighteen hundred and sev-
enty-one, granted a charter of incorporation to the Manches-
ter Cotton Mills, at Manchester, in the county of Chesterfield,
in the following words and figures, to-wit: Know all men by
these presents, that R. D. McIlwaine, Frank Potts, S. S.
Bridgers, Edmond Graham, J. C. Riddle, T. T. Broocks, W.
M. Robinson, together with such other persons as now are
or may hereafter be associated with them, desire to form a
company in the town of Manchester, Virginia, with a char-
ter of incorporation for the purpose hereinafter set forth,
and as required by an act of assembly of Virginia, entitled
an act to amend chapter sixty-five of the Code of eighteen
hundred and sixty, in relation to incorporations by the cir-
-cuit court, do hereby certify to the following facts, namely:
That the company they propose to form is named The Man- ,
chester Cotton Mills; that it is formed for the purpose of!
manufacturing cotton and other fibrous material; that the
Capital stock of said company is not to be less than one hun-
dred and forty thousand dollars, nor more than five hundred
thousand dollars, to be divided into shares of one thousand
‘dollars each, and the privivege is reserved of holding real es-
tate to the extent allowed by law; that the office of said
company isin the town of Manchester, Virginia, and that
the following officers have been chosen to manage the affairs
-of the said company for the first year, namely: R. D. MclIl-
waine, president; Frank Potts, Edmond Graham, T. T.
Broocks, S. 8. Bridgers, J. C. Riddle, W. M. Robinson, direc-
tors; Edmond Graham, treasurer and agent; all residents of
the city of Petersburg, Virginia, and ot Chesterfield county,
Virginia. Given under our hands this the third day of Au-
ust, eighteen hundred and seventy-one. R. D. McIlwaine,

dle, T. T. Broocks, Wm. M. Robinson.
City of Petersburg, to wit:—I, David A. Lyon, a notary
public, in and for the city aforesaid, in the state of Virginia,
do certify, that R. D. McIlwaine, Frank Potts, 8.5. Bridgers,
Edmond Graham, J. C. Riddle, T. T. Broocks and W. M. Ro-
binson, whose names are signed to the foregoing certificate,
’ bearing date on the third day of August, eighteen hundred
and seventy-one, personally appeared before me, in my cit
aforesaid, and severally acknowledged the same to be their
act. Given under my hand this third day of Angest, eighteen

In vacation, August fifth, eighteen hundred and seventy-
one.—Upon reading the foregoing certificate, it is ordered,
that a charter of incorporation be granted to the parties
therein named, and their successors, upon the terms therein
set forth, with all the general provisions, and subject to alf
the general restrictions, provided by the Code of Virginia,
and acts amendatory thereof, or that may be hereafter en-
acted by the general assembly of Virginia, in regard to such
bodies politic and corporate. Sam’l S. Weisiger, Judge of

And whereas, at a circuit court, held for the county of
Chesterfield, at the courthouse thereof, on Wednesday, the
twelfth day of November, A. D. eighteen hundred and se-
venty-three, on the motion of the Manchester cotton mills,.
it is ordered, that the charter of incorporation granted to the
said company by the judge of the circuit court for the county
of Chesterfield, in vacation, the fifth day of August, eighteen
hundred and seventy-one, and duly recorded by the clerk of
the said court, and the secretary of the commonwealth of
Virginia, be and the same is hereby so altered and amended
as that the capital stock of said company is not to be less
than two hundred and twenty thousand dollars, nor more-
than five hundred thousand dollars, to be divided into shares.

And whereas, said original charter, and the amendment
thereto, were duly recorded in the clerk’s office of the circuit
court of Chesterfield county, and certified by the clerk of
said court to the secretary of the commonwealth; and.
whereas, the stockholders of the said Manchester cotton
mills, desire the corporate powers of said incorporation re-
pealed, and a new charter granted by the legislature: Now,
therefore, for the purpose of effectuating the wishes of said
stockholders,
1, Be it enacted by the general assembly of Virginia, That
R. D. McIlwaine, John McGee, Bartlett Roper, S. P. Arring-
ton, Isaac Robinson, J. Andrew White, J. R. Patterson, and:
J. Wesley Friend and David Callender, and their successors,
together with such other persons as may be associated with
them under the provisions of this act, shall: be and they are
hereby incorporated and made a body politic and corporate,
by the name and style of Manchester Cotton Mills, for the
purpose of manufacturing goods of cotton, wool, hemp, flax,
and other kindred articles, or any or either of them; and
they are hereby invested with all the powers and privileges
conferred, and made subject to all the restrictions imposed
on such bodies corporate by chapter fifty-six and fifty-seven
of the Code of Virginia, edition of eighteen: hundred and.
seventy-three.
2. The capital stock of said company shall not be less than
two hundred thousand dollars, nor more than five hundred
thousand dollars, to be divided into shares of one hundred
dollars each; and the said company shall have authority to
purchase and hold, in fee, enjoy and use, or lease lands im
the town of Manchester, or in Chesterfield county, in one or
more parcels, to the extent necessary for effectuating the ob-
jects and purposes of the incorporation.
3. The corporate powers of the Manchester Cotton Mills, 5
under the charter granted by the judge of the circuit court °
of Chesterfield county, and the amendments thereto, are
hereby repealed: provided, however, that all acts, transac- 4
tions, proceedings and contracts and agreements, whether ?
exeeuted or executory, done, transacted and entered into by
the Manchester Cotton Mills, its agents or attorneys, under
and in pursuance of the aforesaid charter granted by the
judge of the circuit court of Chesterfield county, and the
amendment thereto, and not inconsistent with the laws of
this state, shall be held and taken to be valid and binding
upon the new incorporation, under the name and style of
Manchester Cotton Mills, created by this act: and provided
further, that all titles and rights of every kind and nature 7
whatsoever accrued to or acquired by said Manchester Cot- ¢
ton Mills, under and in pursuance of the said charter granted
by the judge of the circuit court of Chesterfield county, and n
the amendment thereto, in any transaction, agreement or
contract not inconsistent with the laws of this state, shall
enure to and vest in the Manchester Cotton Mills company
incorporated by this act.
4. This act shall be in force from its passage, and shall be c
subject to amendment, alteration or modification at the pleas- ¢
ure of the general assembly. °
